This role provides strategic and practical counsel on technology, data, digital initiatives, artificial intelligence, privacy, cybersecurity, strategic sourcing, contracting, and compliance; supports and leads complex negotiations and cross-functional legal matters; and develops legal strategies aligned with business priorities. The Assistant General Counsel leads a small team of lawyers and support staff, balances business, legal, and operational considerations, manages outside counsel, and drives disciplined execution, risk mitigation, talent development, organizational capability, and continuous improvement within delegated areas of responsibility.

POSITION RESPONSIBILITIES

  • Serve as the lead legal advisor for AI, technology, data, and strategic sourcing matters across the enterprise, providing practical, risk-based counsel to functional leaders and business teams and participating in Tech & Data and Strategic Sourcing leadership teams.
  • Advise on and shape company policies regarding data privacy, cybersecurity, artificial intelligence, data governance, digital platforms, software development and deployment, cloud services, technology implementation, and the use of data.
  • Drive responsible digital innovation by proactively identifying opportunities to modernize legal, sourcing, and business processes, enabling the practical adoption of emerging technologies and digital capabilities, and guiding stakeholders through disciplined risk assessment, governance, and execution.
  • Advise on strategic sourcing matters, including supplier selection and onboarding, commercial terms, supplier risk, performance concerns, disputes, and pre-litigation matters.
  • Partner with Tech & Data, Strategic Sourcing, and business teams to identify legal requirements, evaluate risk and tradeoffs, and develop practical strategies that support responsible innovation and organizational objectives.
  • Lead and manage the legal review and negotiation of complex technology, data, supply, and services agreements, including SaaS, cloud, software license, data processing, data sharing, information security, administrative services agreements, professional services, consulting, confidentiality, purchasing, supply, and other commercial agreements.
  • Provide strategic legal support for significant sourcing initiatives and supplier relationships, including negotiation strategy, contracting structures, risk allocation, performance issues, and escalation paths.
  • Develop, implement, and maintain legal strategies, policies, standards, templates, playbooks, training, and governance processes for technology, data, artificial intelligence, privacy, data incident response, cybersecurity, contracting, and strategic sourcing matters.
  • Monitor relevant legal and regulatory developments, assess their potential business impact, and translate evolving requirements into clear, actionable guidance for stakeholders.
  • Provide risk assessments and recommend options, negotiation strategies, mitigation measures, and escalation paths that balance legal, business, and operational considerations.
  • Lead assigned legal practices and complex cross-functional matters with strong execution, process discipline, and accountability; coordinate effectively with division General Counsels and other Legal Department team members.
  • Lead, manage, coach, and develop a team, including setting priorities and performance expectations, allocating work, providing timely feedback, supporting professional development, building team capability and succession readiness, and fostering engagement, accountability, collaboration, and high-quality legal service.
  • Drive continuous improvement in legal service delivery by simplifying processes, strengthening controls, improving contracting and sourcing practices, and building organizational capability within assigned areas.
  • Manage outside counsel for specific matters, including scope, strategy, performance, quality, and cost effectiveness.
  • Promote a culture of compliance, ethical decision-making, responsible data use, company values, and legal risk awareness across the enterprise.
  • Recommend, escalate, and execute legal strategies within delegated authority, including timely escalation of significant or emerging risks to appropriate legal and business leaders.
  • Perform other responsibilities and project assignments as required or assigned throughout the Andersen enterprise, consistent with the needs of the Legal Department.

MINIMUM QUALIFICATION, SKILL, AND COMPETENCY REQUIREMENTS

  • Juris Doctor degree from an accredited law school and active license in good standing in at least one U.S. jurisdiction.
  • Typical range of 10+ years of relevant legal experience, such as in a law firm, corporate legal department, or comparable setting, with substantial experience advising on technology, data, and strategic sourcing matters.
  • Demonstrated subject-matter expertise in technology transactions and data-related legal issues, including experience with emerging technologies such as artificial intelligence.
  • Substantial experience with commercial contracting and strategic sourcing, including negotiating significant SaaS, technology, supply, and services agreements and advising on supplier risk, performance, and disputes.
  • Experience leading complex negotiations and advising on sophisticated, high-impact, or cross-functional matters with limited supervision.
  • Ability to serve as a trusted advisor to functional leaders, directors, and vice presidents, translate legal requirements into practical business guidance, and influence outcomes across organizational boundaries.
  • Excellent legal and business judgment, including the ability to balance legal, business, operational, reputational, and ethical considerations; frame risks, tradeoffs, and options; and identify when escalation is appropriate.
  • Strong leadership capability, including experience leading legal practices, project teams, or cross-functional initiatives, mentoring others, or building organizational capability.
  • Strong process discipline and commitment to continuous improvement, including developing scalable policies, templates, playbooks, governance processes, training, or legal-service workflows.
  • Exceptional negotiation, drafting, analytical, advocacy, and written and oral communication skills, with the ability to communicate complex legal concepts clearly and concisely to varied audiences.
  • Ability to manage multiple priorities, operate effectively in a fast-paced enterprise environment, collaborate across divisions and functions, and maintain current knowledge in assigned areas of responsibility.

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
