Job Description:

Baker Tilly is growing its M&A Tax practice from our new headquarters office in New York City, where you will join a dedicated team focused on private equity and middle-market transactions. Our M&A Tax professionals advise private equity sponsors and their portfolio companies on both buy-side and sell-side transactions, including tax due diligence, transaction tax structuring, quantitative tax modeling, and the tax provisions of purchase agreements and other transaction documents.

As an M&A Tax Senior, you will work directly with experienced M&A Tax professionals on live private equity transactions, with hands-on training in tax diligence, transaction structuring, quantitative modeling, and the technical issues that drive deal decisions.

Our M&A Tax culture is entrepreneurial, collaborative, and highly integrated across levels. We operate as a national M&A Tax team with strong regional connectivity, giving team members meaningful visibility to leaders across Financial Advisory Services and direct exposure to Principals and Managing Directors who remain actively involved on deals. For ambitious professionals who are great team players, the practice offers significant opportunities to build technical depth, client judgment, leadership skills, and a long-term career as the team continues to grow.

Responsibilities:

  • Support Managers, Senior Managers, Principals, and Managing Directors in the day-to-day execution of tax due diligence and other M&A Tax engagements for middle-market private equity clients.
  • Work directly with client teams, private equity sponsors, portfolio company management, investment bankers, and other transaction participants on buy-side and sell-side tax due diligence.
  • Analyze tax data and transaction materials, identify tax risks and opportunities, and prepare clear findings and supporting analyses.
  • Assist with tax structuring and quantitative tax modeling, including evaluating the tax impacts of alternative transaction structures.
  • Research federal income tax issues that arise in transactions and translate technical conclusions into practical deal advice.
  • Assist with the review of tax provisions in purchase agreements and other transaction documents, working with senior team members and legal counsel.
  • Collaborate with our Financial Due Diligence (FDD) team and other advisory specialists to provide coordinated deal support to clients.
  • Responsibly use AI tools to accelerate delivery of M&A Tax services.
  • Liaise with offshore dedicated M&A Tax team members in India as part of a global delivery model.

Qualifications:

  • Bachelor's degree with a major in accounting or related field required
  • Master’s degree in Taxation or JD with LLM in taxation preferred
  • CPA or licensed attorney preferred. If not a CPA or licensed attorney, must meet educational requirements to obtain CPA or attorney license in state of employment upon hire
  • At least 3 years of experience required; minimum of 1 year M&A Tax experience at a Big Four firm or 3 years of business tax compliance / consulting experience required with a public accounting firm or law firm preferred
  • Excellent interpersonal and verbal & written communication skills
  • Strong project management and organizational skills
  • Must have the ability to analyze complex business and transaction situations
  • Strong independent problem-solving skills
  • Strong Microsoft Word, Excel, and PowerPoint skills
  • Must be willing and able to work from our NYC office 3 days per week

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
