Under the direction of the General Counsel, the Commercial Attorney will help facilitate business objectives, identify and manage legal risks, and ensure contractual commitments align with CQ’s Salesforce-native operating model while gaining broad exposure to commercial and corporate legal matters.
Responsibilities and Duties
• Work closely with the General Counsel on complex negotiations, material legal risks, and other legal projects, escalating matters that fall outside established contract positions or approval guidelines.
• Draft, review, and assist in negotiating a variety range of commercial agreements, including master subscription agreements (MSAs) and other SaaS agreements; subscription order forms, statements of work (SOWs), change orders, amendments, and renewals, nondisclosure agreements, vendor agreements, partner-related agreements, reseller, and referral agreements.
• Support the review and negotiation of data processing, privacy, security, and AI agreements in coordination with the General Counsel.
• Collaborate cross-functionally with CQ’s global business teams to provide practical legal guidance and support business objectives, with a primary focus on U.S. commercial matters.
• Support the General Counsel on cross-border commercial and regulatory matters and coordinate with outside counsel when specialized expertise or local legal advice is needed.
• Maintain contract templates, negotiation playbooks, and agreement records, and support continuous improvements to contract review, approval, execution, and management processes.
• Monitor legal and regulatory developments affecting SaaS, privacy, data protection, and AI, and assist in translating applicable requirements into practical contract terms, policies, and business guidance.
• Help develop and deliver clear guidance and training to business teams regarding contract requirements, negotiation positions, and relevant legal and compliance policies.
• Participate in internal legal research and provide recommendations on routine commercial and compliance matters to support business decision-making.
• Contribute to the efficient management of the legal function by assisting with contract administration, document management, and other operational legal initiatives.
• Maintain current on all assigned internal CQ training as assigned in the CQ-QMS.
• Comply with all internal CQ Quality and Information Security requirements
