PRIMARY RESPONSIBILITIES (including, but are not limited to):
• Support the General Counsel and legal services department • Administration of public company board and committee meeting process, maintain calendar, coordinate agendas, maintain database of resolutions • Prepare minutes and other routine corporate secretary documents for parent company and global subsidiaries • Maintain accurate and complete corporate records, minute books, entity records, and corporate governance databases, including coordination of required federal, state, local, and international filings. • Coordinate with internal business units and outside counsel to prosecute and maintain intellectual property registrations • Support equity plan administration, including Section 16 filings and Rule 144 opinions • Support with legal operations processes, including processes relating to financial statement audits, SOX compliance and insider trading compliance • Develop and implement reports for monitoring outside legal expenses • Confidentiality and sensitive information management • Support other projects as necessary

QUALIFICATIONS AND EDUCATION REQUIREMENTS:
• Minimum of 7 years’ experience and Paralegal Certificate required • Experience working with public company corporate governance and board of directors preferred • Experience working for an international company a plus • Experience in the life sciences industry a plus • Strong computer skills, including advanced proficiency with Microsoft Office/365 products (Word & Excel) • Experience with Salesforce and/or Shareworks a plus
