Senior Corporate Paralegal

DDN is seeking an experienced Senior Corporate Paralegal to join its Legal team. This role will play a critical role in the legal department, responsible for managing corporate governance and entity compliance across DDN’s global subsidiary structure. The ideal candidate has substantial in-house experience at a multinational, technology company, is comfortable operating independently across time zones and jurisdictions, and brings rigor and discretion to board support, entity administration, and regulatory compliance matters, including FCPA/OFAC and KYC.

This is a hands-on role requiring exceptional organization, sound judgment, and the ability to manage a high volume of recurring and ad hoc workstreams independently.

KEY RESPONSIBILITIES

GLOBAL ENTITY MANAGEMENT

- Manage the lifecycle of DDN’s domestic and international subsidiaries, including formations, dissolutions, mergers, redomiciliations, and organizational restructurings, in partnership with Finance, Tax, and outside counsel.

- Maintain good standing across all entities, including annual filings, foreign qualifications, registered agent and agent-for-service-of-process records, and local statutory requirements in each jurisdiction.

- Track and manage director and officer appointments, resignations, and signatory authority changes across the global entity portfolio.

CORPORATE RECORDS AND GOVERNANCE

- Maintain accurate and up-to-date corporate records, minute books, organizational charts, and entity databases for all DDN entities worldwide.

- Draft and manage corporate governance documents, including resolutions, written consents, certificates of incumbency, and secretary’s certificates.

- Build and maintain reliable systems and trackers for entity obligations, approvals, and compliance deadlines, and drive continuous improvement of governance processes and tools.

REGULATORY AND ANTI-CORRUPTION COMPLIANCE (FCPA/OFAC)

- Support the legal and compliance teams in administering DDN’s anti-corruption and trade compliance programs, including FCPA, UK Bribery Act, and OFAC sanctions screening.

- Assist with third-party due diligence, compliance certifications, and recordkeeping related to anti-bribery and export/sanctions compliance requirements across DDN’s global operations.

- Help coordinate compliance training logistics and maintain documentation supporting the company’s compliance program.

KYC AND DUE DILIGENCE SUPPORT

- Respond to and manage incoming Know Your Customer (KYC), Ultimate Beneficial Ownership (UBO), and related due diligence requests from banks, financial partners, customers, and other stakeholders.

- Compile and maintain entity ownership, formation, and governance documentation needed to support KYC and beneficial ownership disclosures.

CROSS-FUNCTIONAL COLLABORATION

- Partner closely with Finance, Tax, People Operations, and business stakeholders across regions to support corporate projects, financings, and other strategic initiatives.

- Support special projects and diligence coordination for M&A, financing, and integration matters as needed.

QUALIFICATIONS

- 6+ years of corporate paralegal experience, including substantial in-house experience at a multinational, private technology or software company; law firm experience supporting global corporate clients also considered.

- Demonstrated experience managing entity governance and compliance across multiple international jurisdictions.

- Working knowledge of FCPA, OFAC sanctions regimes, and related anti-corruption/trade compliance frameworks.

- Experience handling KYC, UBO, and related due diligence requests.

- Bachelor’s degree required; paralegal certificate (ABA-approved preferred) strongly preferred.

- Exceptional organizational skills, attention to detail, and follow-through on multiple concurrent workstreams and deadlines.

- Strong written and verbal communication skills, with the judgment and discretion to handle confidential board- and shareholder-level information.

- Proficiency with entity management and document management systems (e.g., Diligent, Blueprint, or similar), board portals, and Microsoft/Google office suites.

PREFERRED QUALIFICATIONS

- Prior exposure to export controls, trade sanctions, or regulated-industry compliance programs.

- Notary Public license (or willingness to obtain).

- Experience supporting cross-border transactions, financings, or post-acquisition integrations.
