PROFILE STICHTING ADMINISTRATIEKANTOOR TKH GROUP The Board of Stichting Administratiekantoor TKH Group (TKH Trust Foundation Office - "the Foundation") has drawn up the following profile for its size and composition, taking into account the purpose of the Foundation and the desired expertise and background of the board members. The profile has been drawn up in accordance with the provisions of Article 4 of the Foundation's articles of association. This profile will be evaluated annually by the Foundation, taking into account the nature of the company, its powers and obligations and the desired background of the directors. 1) The members of the Executive Committee of the Foundation are selected and appointed on the basis of following criteria: a) background and education; b) experience and skills: i.) administrative, financial and/or legal knowledge and experience; ii.)) (international) business on a scale similar to that of TKH Group NV; iii.)) experience in or in relation to stock listed companies; iv.)) a feeling for social relations. 2) Furthermore, to ensure that the combination of experience and expertise allows the Foundation in the best possible way when selecting candidates, following aspects should be taken into account: a) to represent the company's holders of depository receipts of shares in a representative manner; b) to safeguard the interests of the company, its affiliated companies and all parties involved in a professional manner and in the best possible way. 3) All members of the Executive Committee are independent of TKH Group NV within the meaning of best practice provision 4.4.1. of the Dutch Corporate Governance Code. 4) The members of the Executive Committee must have a high degree of involvement with the company. 5) The Executive Committee is composed in such a way that there can be a good mutual trust relationship, so that the board can act as a team. 6) For each appointment and / or re-appointment, ...
