Port of Antwerp-Bruges International (PoABI), een dochteronderneming van Port of Antwerp-Bruges, is gespecialiseerd in wereldwijde havenontwikkelingsprojecten en havengerelateerde consultancy in regio's zoals het Midden-Oosten, India, Afrika, Brazilië en Zuidoost-Azië. PoABI is ook actief als mede-aandeelhouder van de haven van Duqm in Oman en Porto do Açu in Brazilië, en beheert de haven van Cotonou in Benin.

Jobomschrijving

Heb je ervaring met commerciële contracten en investeringen? Dan krijg je bij Port Of Antwerp Bruges International de kans om juridische expertise in te zetten binnen internationale havenprojecten, strategische partnerships en investeringsdossiers wereldwijd.

Samen met de Legal Manager ondersteun je collega's bij commerciële contracten, investeringsdossiers, governance en compliance vraagstukken. Je helpt mee de juridische fundamenten te leggen voor de verdere internationale groei van POABI.

Wat je gaat doen:

  • Je neemt een actieve rol op in de opmaak en onderhandeling van commerciële overeenkomsten tussen POABI en haar klanten, gaande van training-, advisory- en managementcontracten tot aandeelhouders- en concessieovereenkomsten. Daarnaast ondersteun je investerings- en M&A-dossiers van de eerste contacten (NDA's, MOU's en term sheets) tot de finale ondertekening.
  • Je ondersteunt projectteams bij juridische vraagstukken, bewaakt de contractuele verplichtingen binnen lopende projecten en volgt juridische geschillen op wanneer deze zich voordoen.
  • Je beheert mee het vennootschapsdossier van POABI, haar dochtervennootschappen en APEC en volgt de corporate governance processen proactief op, waaronder de voorbereiding van algemene vergaderingen en raden van bestuur en de opvolging van neerleggings- en publicatieformaliteiten.
  • Je ziet toe op de naleving van de relevante wet- en regelgeving en adviseert collega's rond compliance en juridische risico's.
  • Je bouwt duurzame relaties uit met externe partners en stakeholders en denkt proactief mee over juridische oplossingen die bijdragen aan de verdere groei en internationale ontwikkeling van POABI.
  • Afhankelijk van de projecten reis je occasioneel naar het buitenland voor overlegmomenten, onderhandelingen of juridische ondersteuning van internationale projecten.
  • Je behaalde een masterdiploma Rechten.
  • Je hebt minstens 4 tot 6 jaar relevante ervaring als advocaat of bedrijfsjurist, met het opstellen, analyseren en onderhandelen van commerciële contracten.
  • Je beschikt over een grondige kennis van het Belgische vennootschapsrecht en handelsrecht. Ervaring met internationale commerciële contracten en investeringstransacties. Ervaring met de publieke sector is een plus.
  • Je kan complexe juridische materie vertalen naar heldere en pragmatische adviezen voor collega's en stakeholders.
  • Jouw sterktes? Je bent analytisch sterk, werkt gestructureerd en weet juridische risico's correct in te schatten zonder het bredere businessperspectief uit het oog te verliezen.
  • Talenkennis is essentieel in onze internationale werkomgeving. Je spreekt en schrijft vloeiend Nederlands, Frans en Engels.
