Unser Team in Wien verstärkt sich im Schwerpunkt Gesellschaftsrecht und M&A und freut sich auf eine_n engagierte_n Rechtsanwält_in, die/der unsere Mandant_innen mit hohem fachli... 1 Rechtsanwalt / Rechtsanwält_in Gesellschaftsrecht M&A #weforyou - Unsere Aufgaben für dich * Eigenständige Betreuung und Beratung nationaler und internationaler Mandant_innen in allen Fragen des Gesellschaftsrechts * Strukturierung, Begleitung und Umsetzung von M&A-Transaktionen und Joint Ventures (vom Term Sheet über die Due Diligence bis zum Signing und Closing) * Erstellung, Prüfung und Verhandlung von Unternehmenskaufverträgen (SPAs), Gesellschaftervereinbarungen, Joint-Venture-Verträgen sowie weiterer gesellschaftsrechtlicher Dokumentation * Beratung und Umsetzung von Umgründungen (insbesondere Verschmelzungen, Spaltungen, Einbringungen) * Ausarbeitung von rechtlichen Stellungnahmen, Gutachten und Memoranden zu komplexen gesellschaftsrechtlichen Fragestellungen * Laufende gesellschaftsrechtliche Beratung von Unternehmen (Corporate Housekeeping, Corporate Governance, Compliance-Themen)

Enge Zusammenarbeit mit Kolleg_innen anderer Fachbereiche (zB Steuerrecht) sowie Mitverantwortung bei der Betreuung und Ausbildung von Rechtsanwaltsanwärter_innen

#weforyou - Dein Profil * Abgeschlossenes Studium der Rechtswissenschaften oder Masterstudium Wirtschaftsrecht * Min. 3 Jahre Berufserfahrung als Rechtsanwalt/Rechtsanwältin * Einschlägige Berufserfahrung im Gesellschaftsrecht und bei M&A-Transaktionen * Ausgeprägtes Interesse am Schwerpunkt Gesellschaftsrecht und M&A sowie Freude an der Arbeit an komplexen wirtschaftsrechtlichen Mandaten * Sehr gute Englischkenntnisse in Wort und Schrift, weitere Fremdsprachen von Vorteil * Hohes Maß an Eigenständigkeit, präziser und lösungsorientierter Arbeitsstil, unternehmerisches Denken sowie Teamfähigkeit und soziale Kompetenz
