Zin om je juridische kennis van M&A in te zetten om klanten en collega’s te adviseren? Als Senior Legal Advisor M&A bij VGD zoek je samen met het Legal-team een antwoord op juridische vragen van zowel interne als externe klanten. Je wordt hierin ondersteund door onze Legal Advisors en zorgt actief mee voor hun opleiding en integratie in het team. Enthousiast, leergierig en met een gezonde dosis ownership breng je dossiers tot een goed einde. Bovendien kan je door de ondersteuning van ons dynamisch team van gedreven juristen rekenen op een snelle leercurve.

Over de job

Als Senior Legal Advisor M&A ga je aan de slag om voornamelijk ondernemers te begeleiden bij hun overname(s). Daarbij sta je zowel kopers als verkopers bij. Je taken omvatten onder meer het proactief en zelfstandig verwerken van dossiers, het sparren met collega's over op maat gemaakte oplossingen en het leveren van juridische expertise bij complexe vraagstukken, waarbij je de (Senior) Legal Managers op efficiënte wijze ondersteunt. Daarnaast ben je als Senior Legal Advisor het aanspreekpunt voor jongere collega’s en neem je voor hen de rol van coach op.

Concreet ziet je werkdag er zo uit:

  • Je coacht en ondersteunt Legal Advisors in de zoektocht naar antwoorden op juridische vraagstukken van klanten.
  • Je behandelt complexe dossiers en vraagstukken in de diverse domeinen van M&A-dossiers. Denk hierbij aan: Het vormgeven van de intenties van partijen in intentieverklaringen of LOI’s; Het identificeren van potentiële risico’s in het juridische luik van het due diligence-onderzoek; Het onderhandelen tussen de koper en de verkoper en de verschillende visies proberen te verzoenen; Het uitwerken van intredemogelijkheden voor medewerkers; Het uitwerken van het algehele akkoord bij de redactie van de transactiedocumentatie; Het bijstaan en advies verlenen over de eventuele samenwerking tussen partijen na de transactie; Het opmaken van aandeelhouders- en managementovereenkomsten.
  • Je krijgt de kans om persoonlijk met klanten aan de slag te gaan en goede klantrelaties uit te bouwen en te onderhouden.

Ben jij:

  • Een teamspeler die zich graag verdiept in uitdagende dossiers?
  • In het bezit van een masterdiploma in de rechten en enkele jaren ervaring in M&A-transacties als advocaat of jurist?
  • In het bezit van specifieke kennis in M&A-transacties? Interesse in het ruimer vennootschaps- en/of economisch recht is een plus!
  • Een echte coach die Junior collega’s wil begeleiden?
  • Een doener met een open geest?
