Role Summary

The Senior Legal Counsel: Capital Markets & Corporate Development is a senior member of the Legal team, responsible for providing strategic, commercially focused legal support across Firmus' financing, capital raising and corporate development activities. Reporting to the General Counsel, the role serves as a trusted adviser to executive leadership on complex legal, commercial and transactional matters, helping the Company execute its growth strategy, raise capital and pursue new strategic opportunities.

Working closely with teams across finance, corporate development, executive leadership and external advisers, the Senior Legal Counsel will support debt and equity financing activities, corporate transactions, strategic partnerships and investment initiatives. The role will lead legal support for significant financing and corporate development matters while providing practical, solutions-oriented advice in a fast-paced, high-growth technology environment.

The successful candidate will combine strong technical legal expertise with commercial judgment, a collaborative approach and the ability to operate autonomously across a broad range of matters. This is an opportunity to work on transformative transactions at the intersection of artificial intelligence, digital infrastructure, capital markets and technology while contributing to the growth of one of the region's most innovative infrastructure platforms.

Skills & Experience

  • Minimum 8-10 years' post-qualification experience (PQE).
  • Experience gained in a top-tier law firm and/or a sophisticated in-house legal environment.
  • Strong experience across debt finance, equity capital markets, mergers and acquisitions, corporate transactions, joint ventures and strategic partnerships.
  • Proven ability to negotiate and manage complex financing, investment and transactional arrangements.
  • Strong commercial judgment and pragmatic approach to legal risk.
  • Ability to operate autonomously and provide clear, solutions-focused advice in a fast-paced, growth-oriented business.
  • Excellent stakeholder management, communication and negotiation skills.

Desirable Experience

  • Experience supporting capital raising activities, private equity, infrastructure investment or corporate development programs.
  • Experience advising on cross-border transactions and complex multi-party arrangements.

Qualifications

  • Bachelor of Laws (LLB), Juris Doctor (JD) or equivalent legal qualification.
  • Admission as a legal practitioner in Australia and eligibility to hold a practising certificate.

  • Reports to: General Counsel & Company Secretary
