Summary of Role:
GHJ is seeking an accomplished Tax transaction advisory professional with deep M&A/private equity experience to help accelerate the growth of our existing buy-side Transaction Advisory Services practice.
The position reports to the Transaction Advisory Services (TAS) Practice Leader and ultimately to the Tax Department Practice Leader.
The Tax M&A Managing Director will be responsible for leading client engagements requiring Tax M&A expertise. The ideal candidate will have advanced technical skills in a variety of tax areas, along with well-developed and demonstrated management and supervisory skills. Administrative, leadership, marketing, practice development, and business development responsibilities are also key elements for this position.
You will be responsible for:
- Managing/leading M&A tax consulting engagements, including but not limited to, tax due diligence, cross border and domestic tax structuring and financing, support of QoE engagements, and modeling the tax consequences of various acquisitions and dispositions;
- Performing discrete tax consulting engagements such as Section 382 analysis, gross up analysis, domestic or foreign earnings and profits calculation, basis calculation, purchase price allocation and transaction costs analysis;
- Reviewing and modeling complex partnership operating agreements and sales agreements;
- Demonstrating expert technical skills including the application and interpretation of U.S. federal income tax law including Subchapter C corporations, partnerships, consolidated groups, tax efficient structuring and use of debt, and the reorganization provisions of the Internal Revenue Code;
- Preparing written memoranda documenting research and analyzing appropriate outcomes based on application of the facts to tax law;
- To the extent required, reviewing and assisting with tax compliance-related consulting particularly as related to transactions;
- Proactively assisting in the firm’s various initiatives including tax technical updates, thought leadership, webinars and others;
- Maintaining knowledge of general economic and political trends of possible tax or other legislation that could affect the business climate;
- Supervising members of the tax team and providing on-the-job training;
- Working to develop responsible, trained staff by assisting in recruiting, performance evaluations, developing training aids, and acting as an instructor in professional development programs;
- Possessing a complete knowledge of the firm's philosophy and its positions on tax issues;
- Maintaining knowledge of general economic and political trends impacting possible tax or other legislation that could affect the business climate;
- Assisting in the client pursuit process (developing proposals, presenting at client pitch meetings, etc.);
- Proactively continuing to grow professional network and attending or participating in specific industry events;
- Collaborating with peers in other GHJ departments by promoting and identifying potential cross-selling opportunities;
- Taking ownership of billing process for your clients and actively engaging in the AR collection process;
- Working to effectively plan engagement including addressing any complex issues in advance of the start of the project;
- Identifying value-added projects and opportunities for expanded client business;
- Presence and regular engagement on social media networking platforms (e.g. LinkedIn);
- Possibly leading a tax department or firm initiative.
What we need from you:
- 10+ years of experience in public accounting (tax), demonstrating a proven ability in handling tax complexity, scope, and research.
- Prior leadership of client engagements and supervisory experience of managers and staff.
- Excellent oral & written communication skills.
- Self-starter with the ability to work independently and use good judgment.
- Strong interpersonal skills
- Strong coaching skills and the desire to participate in our Coaching Program.
- Creative thinker with entrepreneurial approach to client interactions, including tax planning and bringing value to clients.
- Willingness to lead firm or tax department initiatives and be seen as a leader in the tax department.
What skills & experience you’ll bring to us:
- Bachelor’s degree in Accounting, Business, or related equivalent.
- Masters of Science degree in Taxation or a J.D. highly preferred
- CPA certification or active law license required.

The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. Any offered salary is determined based on internal equity, internal salary ranges, market data, ranges, applicant's skills and prior relevant experience, certain degrees and certifications (e.g. JD, technology), for example. At GHJ, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is: $224,000 - $320,000.
