Responsabilidades e atribuiçõesAnálise e Negociação Contratual: Realizar revisão criteriosa de minutas enviadas por fornecedores e parceiros comerciais, identificando pontos de vulnerabilidade e promovendo negociações para a mitigação de riscos jurídicos.Elaboração de Instrumentos Jurídicos: Redigir e estruturar minutas de contratos diversos, aditivos, distratos, acordos de confidencialidade e demais documentos correlatos à rotina operacional da empresa.Consultoria e Orientação às Áreas de Negócio: Elaborar pareceres, memorandos e posicionamentos jurídicos práticos para respaldar as decisões estratégicas dos departamentos internos do cliente.Gestão de Stakeholders e Projetos: Participar ativamente de reuniões com interlocutores internos (áreas de negócio) e externos (fornecedores e parceiros), atuando na identificação prévia de contingências e no alinhamento de projetos.Governança Corporativa e Compliance: Garantir a total conformidade de todos os instrumentos contratuais com as políticas internas, procedimentos de governança e diretrizes de compliance do cliente.Interface Institucional: Atuar como elo de comunicação entre o dia a dia corporativo do cliente e o suporte técnico complementar do escritório de advocacia.Consultoria e Estratégia de Negócios: Avaliação jurídica para lançamento de novos produtos, validação de campanhas de marketing e projetos de inovação (freedom to operate, análise de anterioridade e risco de infração a terceiros).Contratos e Licenciamento: Redação e negociação de contratos de transferência de tecnologia, licenciamento de marcas e patentes, cessão de direitos autorais, desenvolvimento de software, acordos de confidencialidade (NDAs) e co-branding.Atuação Administrativa (INPI): Gestão do portfólio de ativos imateriais, acompanhamento de depósitos, interposição de oposições, manifestações, recursos e nulidades perante o Instituto Nacional da Propriedade Industrial.

Requisitos e qualificaçõesFormação superior completa em Direito e Com OAB Ativa;Desejável: Pós graduação em Contratos;Experiência na área de contratos e consultiva;Vivência e atuação em escritórios na área contratual; Inglês nível avançado; Proatividade;Comprometimento;Organização frente a demandas complexas;Boa comunicação com áreas não jurídicas.
