O M.Maia Advogados está buscando por um Advogado(a) Pleno | Empresarial e Societário que seja motivado, apaixonado por finanças e que esteja em busca de um desafio empolgante para se juntar à nossa equipe dinâmica e colaborativa.Com uma equipe experiente e que visa, sempre, atender e antecipar as reais necessidades dos nossos clientes, o M.Maia Advogados realiza uma gestão adequada e eficaz dos tributos dos nossos clientes, liberando recursos para as suas atividades operacionais e evitando contingênciasCandidate-se em nosso processe seletivo e não perca a chance de fazer parte de uma equipe de sucesso e desenvolver sua carreira profissional!Responsabilidades e atribuições Redigir e revisar atos societários de sociedades limitadas (LTDA) e sociedades anônimas (S.A.) fechadas: constituição, alteração de contrato e/ou estatuto social, atas de assembleia geral ordinaria e extraordinária, rerratificação, dissolução e liquidação.Conduzir o registro e o arquivamento dos atos na Junta Comercial (JUCESP) e demais órgãos, cumprindo as exigências dentro dos prazos. Elaborar e negociar acordos de sócios e de acionistas, contrato de opção de compra e venda e documento relacionados a operações societárias.Estruturar holdings, planejamentos patrimoniais e reorganizações societárias (incorporação, cisão e transformação), em conjunto com a área tributária.Apoiar todo o ciclo da operação: NDA, MoU/term sheet, contrato de compra e venda de ações ou quotas (SPA/QPA), fechamento (closing) e pós-closing.Redigir instrumentos de investimento: mútuo conversível, acordo de investimento, Sociedade em Conta de Participação (SCP), penhor de ações e quotas e contratos de opção. Manter controle atualizado da carteira societária dos clientes (mandatos, prazos legais e obrigações).Registrar atividades e andamentos nos sistemas internos, comunicando riscos, falhas ou atrasos imediatamente ao gestor.Revisar instrumentos e orientar estagiários e advogados juniores.

Requisitos e qualificações Graduação em Direito e inscrição ativa na OAB. 3 a 6 anos de experiência em Direito Societário e contratos empresariais, de preferência em escritório full service. Experiência prática em atos societários, acordos de sócios e em operações de M&A ou investimento. Domínio do registro na JUCESP e das rotinas de arquivamento. Pós-graduação ou especialização em Direito Societário, Empresarial ou Contratual (diferencial)
