Você será responsável por dar suporte a todos os negócios do Grupo WS, atuando no cumprimento de obrigações das sociedades integrantes do Grupo, na prevenção e gestão de riscos, visando garantir a integridade legal da empresa através do monitoramento eficaz de toda a rotina societária, gestão de projetos, consultoria e suporte a clientes internos.Responsabilidades e atribuiçõesRealizar consultoria societária para projetos estratégicos do Grupo WS, a fim de dar suporte jurídico às operações de M&A, reestruturações societárias, nacionais e internacionais, incluindo operações no mercado de capitais e de grande relevância financeira;Prestar suporte jurídico a todos os Negócios do Grupo WS e áreas corporativas, incluindo otimização do organograma societário, análise de impactos jurídicos de novas operações, análise e gestão de riscos e respectivos instrumentos jurídicos, garantindo a conformidade legal e o bom funcionamento dos órgãos de governança;Garantir o cumprimento de obrigações das sociedades integrantes do Grupo WS;Realizar o monitoramento eficaz de toda a rotina societária;Analisar, elaborar e revisar atos societários em geral;Efetuar os procedimentos necessários para aprovação dos documentos societários, assinaturas e interface com as áreas responsáveis pelo arquivamento nos órgãos competentes;Garantir a disponibilização das informações societárias atualizadas nos repositórios da empresa;Atuar de forma preventiva na assessoria e orientação às áreas clientes na tomada de decisões através de pareceres e opiniões legais;Analisar, elaborar e negociar contratos e demais instrumentos jurídicos de alta complexidade e relevância estratégica das áreas corporativas e segmentos de Negócio do Grupo;Acompanhar as alterações na legislação societária vigente e avaliar impactos econômicos para as empresas do Grupo WS e seus processos internos;Elaboração e revisão de políticas e procedimentos internos relacionados ao Jurídico e apoio na revisão de normativos de outras áreas, quando demandado, com apoio da Gestão; Desenvolvimento de treinamentos voltados para área jurídica e também para áreas parceiras sobre temas atinentes à área de sua competência e os sistemas utilizados em sinergia com as áreas.Requisitos e qualificaçõesRequisitos Obrigatórios: Formação/Escolaridade: Formação superior em DireitoExperiência em toda a rotina societária e de governança corporativa;Experiência no suporte jurídico à operações de M&A;Inglês avançado Requisitos Desejáveis: Experiência em M&A envolvendo empresas/escritórios estrangeiros.Certificações Obrigatórias:Inscrição ativa na OABInformações adicionaisNos preocupamos com o bem-estar das nossas pessoas, por isso oferecemos benefícios e cuidados que permitem uma vida com mais qualidade.Cuidados com sua alimentação: Vale Alimentação/Restaurante no local (conforme modelo de trabalho);Cuidados com sua saúde física: Plano de Saúde, Plano Odontológico, TotalPass e Telenutrição para você;Cuidados com sua saúde mental: ZenklubCuidados com as novas mamães: Cesta Bebê, Programa Mães à Bordo;Cuidados com o seu desenvolvimento: Plataforma de cursos; Clube de parcerias;Apoio Social: Seguro de Vida e Canal SOS RH Saúde;Lazer: Benefício de descontos em viagens;Deslocamento: Vale transporte ou transporte da empresa (dependendo da localidade);Cesta Natalina;PLR anual.
