Role Summary

We’re looking for an M&A Analyst to power the analysis behind every brokerage Gyde evaluates, acquires, and closes.

Acquisitions are the engine of Gyde’s growth. Every agency we bring onto the platform starts as a set of seller financials, a book of business, and a handful of carrier statements. The quality of our analysis determines what we pay, how we structure the deal, and whether we should do it at all. As Gyde scales its acquisition pace across Medicare Advantage, ACA, employee benefits, and wholesale distribution, the speed and rigor of that analysis becomes one of the highest-leverage levers in the company.

You’ll sit at the center of the deal team. You’ll turn messy seller data into clean financials, build the EBITDA bridges and valuation models that set our price, and write the analysis that goes into our investment committee memos. You’ll coordinate diligence requests and third-party workstreams, keep the live deal pipeline accurate, and help build the AI-assisted tooling that lets a small team evaluate far more deals than a traditional corporate development function could.

This role is ideal for an analytically rigorous early-career professional from investment banking, private equity, corporate development, transaction advisory, or strategy consulting who wants real ownership on live deals. You’re as comfortable reconciling a carrier commission statement line by line as you are pressure-testing a seller’s adjusted EBITDA and forming a point of view on what a business is actually worth.

Key Responsibilities

  • Build and maintain the financial models behind every deal, including EBITDA bridges, quality-of-earnings adjustments, valuation, sources and uses, and returns
  • Spread and normalize seller financials, tax returns, and carrier commission statements into one clean, defensible set of numbers
  • Pressure-test seller addbacks and revenue quality, including owner compensation, one-time items, carrier concentration, renewal versus new business, and producer dependency
  • Draft the analysis, charts, and recommendations that go into investment committee memos, and help shape deal structure (earnouts, rollover equity, and retention)
  • Screen inbound and outbound targets against Gyde’s acquisition criteria, and keep the live deal pipeline and deal trackers current and accurate
  • Run diligence request lists end to end across financial, legal, compliance, and tax workstreams, tracking open items and chasing sellers for what is missing
  • Coordinate with third-party advisors on Quality of Earnings, tax, and legal diligence, and translate their findings into model and structure changes
  • Support signing and closing: purchase agreement schedules, working capital, funds flow, and closing checklists
  • Build and improve the AI-assisted workflows, templates, and scorecards that make Gyde’s deal process faster and more repeatable
  • Hand off clean deal data and context to the Value Creation team so every acquired agency starts integration with a clear baseline

What you bring / core competencies

  • 1-3 years of experience in investment banking, private equity, corporate development, transaction advisory / Quality of Earnings, or strategy consulting
  • Strong command of accounting and financial statements, and the ability to build a three-statement or deal model from a blank spreadsheet
  • Command of the mechanics: EBITDA normalization, addbacks, valuation multiples, debt and equity financing, and returns analysis (MoM and IRR)
  • Exposure to insurance distribution, brokerage, or healthcare services preferred; familiarity with commission-based revenue models a plus
  • A practical, daily user of AI tools who knows how to get reliable output from them while retaining human judgement
  • Meticulous attention to detail; your numbers tie, your sources are cited, and your assumptions are labeled
  • Clear, concise writer who can turn a complex analysis into a recommendation a decision-maker can act on
  • Entrepreneurial mindset with a strong sense of ownership; you want to run the work, not just support it
  • Able to manage multiple live deals and competing deadlines without dropping the details
  • Ability to travel up to ~10% for seller meetings and on-site diligence
