Полное правовое сопровождение корпоративной деятельности группы компаний, корпоративный менеджмент, в том числе:- подготовка и внесение изменений в учредительные документы, в ЕГРЮЛ;- регистрация юридических лиц, обособленных подразделений юридических лиц;- сопровождение сделок с долями/ акциями юридических лиц;- реорганизация и реструктуризация юридических лиц (в т.ч. сопровождение сделок, связанных с передачей долей/акций);- организация и проведение корпоративных действий и процедур (увеличение уставного капитала, выпуск акций, выход из общества);- организация и проведение общих собраний участников/акционеров, оформление внутрикорпоративных одобрений;- контроль процессов выпуска доверенностей (в том числе, МЧД);- организация регистрационных действий и взаимодействие с государственными органами при проведении сделок и действий (регистрации выпусков акций, ходатайства в ФАС);- разработка внутренних документов компании в сфере корпоративного сопровождения (приказы, инструкции и т.д.);- контроль и актуализация сведений о бенефициарных владельцах компаний, входящих в холдинг; Взаимодействие с государственными органами, нотариусами, реестродержателем, депозитарием, ЦБ РФ, ФАС РФ (при необходимости), банками и иными учреждениями и организациями по вопросам корпоративного сопровождения группы компаний (АО, ООО); Поддержка деятельности иностранных компаний входящих в периметр бизнеса, включая взаимодействие с иностранными консультантами, обеспечивающими локальную поддержку деятельности иностранных компаний; Проведение исследований законодательства и судебной практики по вопросам корпоративного права; Консультирование внутренних клиентов по вопросам корпоративного сопровождения группы компаний; Ведение реестра корпоративных документов группы и должного документооборота в отношениях с участниками / акционерами

Профиль идеального кандидата для нас: Опыт работы с корпоративным правом от 3 лет; Знание процессов проведения Общих собраний, заседаний Советов Директоров, Правления, ведение протоколов; Опыт работы с доверенностями и МЧД обязателен; Способность самостоятельно управлять проектами и процессами; Сильные коммуникативные навыки; Ориентированность на результат; Опыт работы в международной деловой среде в организациях сложной организационной структуры, опыт взаимодействия с крупными акционерами-физлицами, первыми лицами компаний, правлением будет являться премуществом
