Обязанности: Разработка учредительных документов, их регистрация, внесение изменений в учредительные документы, иметь практические навыки по открытию и закрытию эмиссии акций путем размещения дополнительных акций, по подготовке отчета об итогах дополнительного выпуска акций, по результатам размещения дополнительных акций внесения необходимых изменений в Устав по увеличению уставного капитала, взаимодействия с Центробанком по вопросу эмиссии акций, уметь оформлять документы по подготовке и проведению заседаний Совета директоров и Общих собраний акционеров, координация сделок с акциями, внесение информации на межведомственный портал по управлению государственной собственностью, умение работать с информационными системами "Росимущества", знание процедуры проведения дополнительной приватизации имущества, правовая экспертиза договоров, соглашений, приказов, инструкций, разработка положений и других документов правового характера, составление, подготовка их проектов, их согласование, ведение претензионно-исковой работы, представление интересов организации в различных инстанциях (в т.ч. участие в судах, проверках гос.органами, УФАС, собраниях кредиторов), ведение переговоров, раскрытие информации. Требования: Высшее юридическое образование; Знать гражданское законодательство, законодательство об акционерных обществах, о рынке ценных бумаг, о раскрытии публичной информации; законодательство о гособоронзаказе (275-ФЗ), законодательство о закупках, в том числе 223-ФЗ, 44-ФЗ, о банкротстве, арбитражное процессуальное, гражданское процессуальное, договорное, основы уголовно-процессуального права предпринимательское, административное, трудовое, финансовое, налоговое, иные отрасли законодательства РФ, стандарты делопроизводства, постановления, распоряжения, приказы, другие руководящие и нормативные документы вышестоящих и других органов, касающиеся правовой деятельности Общества, основы экономики и организации производства, труда и управления; Уметь применять имеющиеся знания на практике, формировать правовую позицию и отстаивать ее, составлять различные правовые и учредительные документы, давать квалифицированные юридические заключения, пользоваться оргтехникой.
