The posting

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Lead Legal Counsel, Corporate based in the United States.

This is an opportunity for an experienced legal professional to shape corporate governance and securities compliance at a growing, publicly traded technology organization. As a senior individual contributor, you will lead critical legal matters spanning public company reporting, board governance, equity plans, and corporate entity management. You will also contribute to mergers and acquisitions and other strategic transactions, helping balance legal risk with business priorities. Working closely with finance, accounting, investor relations, corporate development, people operations, and other teams, you will translate complex legal issues into practical, actionable guidance. In a globally distributed, technology-driven environment, you will help strengthen legal processes, improve operational efficiency, and support responsible business growth. This role is ideal for a strategic, detail-oriented legal professional who values autonomy, cross-functional partnership, and continuous improvement.

Accountabilities

  • Securities and Public Company Reporting Lead securities law and public reporting matters, coordinating with internal stakeholders and external auditors on SEC filings, quarterly reports, earnings releases, annual proxy statements, investor presentations, and other public disclosures. Ensure public company reporting processes remain accurate, timely, and aligned with applicable legal and regulatory requirements. Monitor legal and regulatory developments and recommend updates to policies, procedures, and internal controls. Corporate Governance and Entity Management Advise on board and committee processes, annual stockholder meetings, corporate approvals, equity plans, executive compensation, and related compliance obligations. Provide legal guidance on corporate entity matters across jurisdictions, including entity formation, maintenance, reorganizations, intercompany agreements, and wind-downs. Support effective governance practices and help maintain consistent, well-documented corporate processes. Strategic Transactions and External Counsel Support mergers and acquisitions and other strategic initiatives through due diligence, transaction documentation, approvals, signing, closing, and post-closing integration. Engage and manage outside counsel across jurisdictions, ensuring advice is practical, high quality, and cost-effective. Assess complex legal and business risks, present clear options to senior stakeholders, and recommend solutions that support organizational objectives. Process Improvement and Collaboration Develop and improve playbooks, checklists, templates, and workflows to make recurring corporate legal work more scalable and efficient. Train junior legal colleagues and cross-functional partners on processes and resources that promote consistent execution. Collaborate with legal, finance, accounting, tax, treasury, people, product, investor relations, and corporate development teams. Contribute to a transparent, globally distributed working environment and incorporate AI-enabled tools and workflows into daily legal work. Requirements At least 6 years of relevant legal experience, including law firm experience advising US-listed public companies on securities law, corporate governance, and public company reporting. A Juris Doctor (JD) degree and active admission to a US state bar. Prior in-house legal experience is an advantage, particularly within a publicly traded software, SaaS, or open-core technology company. Demonstrated ability to independently manage complex legal matters and cross-functional projects, prioritize competing demands, and deliver results with limited supervision. Strong written and verbal communication skills, including the ability to explain technical legal concepts clearly to senior leaders and non-legal stakeholders. Excellent judgment and analytical skills, with the ability to investigate unfamiliar legal questions, evaluate competing risks, and translate recommendations into practical action. Experience improving legal processes, policies, templates, documentation, or other scalable resources. Strong relationship-building skills and the ability to collaborate effectively across time zones, functions, and cultures in a remote environment. Comfort using collaborative technology platforms and a willingness to incorporate AI-enabled tools into everyday workflows. Additional experience in mergers and acquisitions, cross-border corporate matters, outside counsel management, or legal technology is beneficial but not required. Benefits Base salary: $168,000–$285,600 USD annually, with the final offer depending on factors such as experience, skills, qualifications, and geographic location. Equity compensation: Equity awards and access to an employee stock purchase plan. Flexible paid time off: A flexible PTO program to support personal needs and work-life balance. Parental leave: Parental leave to support employees and their families. Professional development: A growth and development fund to support ongoing learning and career advancement. Home office support: Resources to support an effective remote working environment. Employee communities: Team Member Resource Groups that encourage connection, inclusion, and shared experiences. Remote work: A distributed working environment, with this position open to candidates based in the United States.

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
