Nous recherchons pour notre siège à Lausanne un/une :

ASSISTANT(E) JURIDIQUE

Votre rôle :

Secrétariat juridique des sociétés Suisses du groupe (dont 1 société cotée) :

  • Organiser et coordonner la logistique des Conseils d-administration, Comités exécutifs et Assemblées générales
  • Rédiger les procès-verbaux des sociétés non cotées
  • Préparer la documentation juridique relative aux arrêtés des comptes (sociétés intragroupes)
  • Tenue et mettre à jour les registres
  • Effectuer les formalités et réquisitions auprès du Registre du Commerce et des Sociétés

Gouvernance :

  • Participer à la rédaction du rapport annuel
  • Assurer les formalités règlementaires auprès de la SIX Swiss Exchange
  • Suivre les contrats intragroupes
  • Gérer les demandes juridiques des filiales
  • Veiller à la conformité des déclarations réglementaires

Immobilier :

* Assurer le suivi des relations avec la régie en charge de l-actif immobilier

Divers

  • Apporter un soutien ponctuel au département RH
  • Assurer une veille juridique et réglementaire

Votre profil :

  • Etudes supérieures en Droit
  • Expérience confirmée de 5 ans au sein d-un service juridique ou d-une étude d-avocats, notamment en droit des affaires (corporate law)
  • Excellente organisation, rigueur et sens de la confidentialité
  • Autonomie, adaptabilité et esprit d-initiative
  • Maîtrise des outils MS Office (Excel, Word, PowerPoint, Outlook)
  • Appétence pour les outils digitaux et l-intelligence artificielle appréciée
