This role involves providing timely and high-quality legal assistance on transactions to the Corporate Development Team and other business groups. Key areas include venture capital, mergers and acquisitions, joint ventures, and large-scale capital investments. You will coordinate with specialists throughout the U.S. and EU and handle legal duties involving entities.

Work Responsibilities

  • Manage legal aspects of venture capital investments from beginning to end, including term sheets, due diligence, definitive agreements, board observer and information rights, subsequent funding rounds, portfolio oversight, and exits.
  • Prepare and negotiate contracts pertaining to mergers and acquisitions, asset and share transactions, and related documents, including transition services agreements, consulting and employment contracts, tax agreements, IP license agreements, and more.
  • Deliver legal support across all phases of deals, from planning and negotiation to signing and post-signing regulatory and integration help in the US and EU regions.
  • Direct and manage outside counsel, and control legal spend.
  • Partner with subject matter experts on data privacy, intellectual property, regulatory matters, tax, public policy, security, finance, sales, procurement, and other internal and external contributors to make sure that transactions correspond with corporate strategy and policies.
  • Assist and support other internal departments such as HR, finance, accounting, tax, operations, and investor relations on legal matters, as needed.
  • Help develop standards, templates, and playbooks for M&A and venture transactions.
  • Identify and implement AI-enabled tools and workflows to streamline deal diligence, contract review and drafting, and transaction management.

Minimum Qualifications

  • College degree (B.A., B.S.) and Juris Doctorate (J.D.) from top-tier, ABA-accredited law school.
  • Eight or more years of related experience at a law firm or in a corporate law department.
  • “First-chair”-level experience leading venture capital, M&A, and other significant transactions.
  • Skilled at explaining legal concepts to business partners and other non-lawyers and delivering pragmatic legal and commercial advice.
  • Outstanding legal drafting and negotiation skills.
  • Confidence to share and propose ideas on legal issues to both internal collaborators and external counsel/consultants.
  • Excellent communications skills, both verbal and written.

Required Personal Attributes

  • Ability to forge strong and effective working relationships across a variety of collaborator groups.
  • Ability to work independently and manage pressure. Willingness to contribute within a team and handle several tasks at once with an analytical, curious mind.
  • Willingness to be present at the specified locations and times to support Micron’s global operations, which may involve evening or weekend hours.
  • Possess a keen problem-solving approach that benefits Micron’s business needs.

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
