Position Overview:

The Sr. Manager, Business Assurance provides strategic leadership for Motiva's enterprise assurance, governance, internal control, and compliance programs. Reporting to the Controller, this role is responsible for the effectiveness and continuous improvement of Motiva’s governance framework, including the Controller Group Governance Framework (CGGF), Internal Controls over Financial Reporting (ICFR/SOX), Internal Controls over Sustainability Reporting (ICSR), Enterprise Risk Management (ERM), Policy Governance, and related assurance activities.

The position serves as the enterprise lead for CGGF implementation, compliance monitoring, governance reporting, and control framework alignment, ensuring governance requirements are effectively embedded across business processes, policies, controls, and accountability structures. The role partners with executive leadership, protocol owners, Internal Audit, external auditors, and shareholder assurance representatives to strengthen governance, risk management, and control effectiveness.

In addition, the Sr. Manager oversees assurance activities supporting SOX/ICFR compliance, audit coordination, and enterprise control effectiveness while leading a team of assurance professionals and driving continuous improvement through automation, analytics, and leading governance and assurance practices.

This role also provides strategic oversight of technology-enabled controls and governance, including IT general controls, automated and configurable application controls, user access and segregation of duties, and technology dependencies supporting financial and business processes. The Sr. Manager partners with business, Finance, and Technology leadership on major transformation initiatives to ensure governance, risk, and control requirements are appropriately incorporated into system and process design.

Responsibilities:

  • Lead Motiva’s Business Assurance function, providing strategic oversight of governance, assurance, compliance and internal control programs, establishing priorities, operating models, and assurance strategies aligning with enterprise risks and business objectives.
  • Serve as the enterprise lead for the CGGF including governance protocol implementation, compliance monitoring, reporting, stakeholder engagement, and continuous improvement.
  • Lead the Company’s ERM program, including risk identification, assessment, monitoring, reporting, and executive engagement activities.
  • Oversee the development, coordination, and delivery of quarterly Audit & Risk Committee and Board of Directors governance, risk, and assurance reporting.
  • Ensure governance requirements are effectively embedded within business processes, policies, controls, and accountability structures across the organization.
  • Provide governance oversight for Policy Governance and other enterprise governance frameworks.
  • Maintain strong, collaborative relationships with Aramco CGGF and ERM stakeholders through ongoing communication, alignment, and engagement on governance and risk matters.
  • Provide recurring status updates to Aramco stakeholders regarding CGGF programs, including ICFR and ICSR, and ERM activities, including program progress, key risks, issues, remediation activities, and other significant developments.
  • Coordinate with internal stakeholders to ensure information provided to Aramco is accurate, timely, consistent, and appropriately reflects Motiva’s governance, risk, and control environment.
  • Anticipate stakeholder information needs and proactively communicate emerging governance, risk, control, and assurance matters to appropriate internal and Aramco stakeholders, escalating significant matters when appropriate.
  • Oversee the ICFR/SOX and ICSR programs, including business process controls, IT general controls, application and configurable controls, entity-level controls, control testing, deficiency evaluation, remediation, and ongoing control optimization.
  • Provide strategic oversight of the Company’s SOX technology controls environment and the technology dependencies supporting key financial reporting processes.
  • Direct the development and ongoing rationalization of risk and control matrices, control inventories, testing populations, and assurance methodologies to maintain a risk-based, efficient, and defensible control environment.
  • Coordinate assurance activities supporting internal audits, external audits, shareholder assurance programs, and governance assessments.
  • Serve as a key liaison with external auditors regarding control strategy, testing approach, reliance, deficiencies, remediation, and changes to the control environment.
  • Coordinate and oversee the collection, validation, consolidation, and preparation of governance, risk, assurance, and compliance reporting for ELT, the Audit & Risk Committee, and Board of Directors.
  • Synthesize complex governance, risk, control, business process, and technology-related issues into concise, executive-level communications that enable the ELT, Audit & Risk Committee, and Board of Directors to quickly understand the issue, business impact, risk, management response, and status.
  • Exercise judgment in determining the appropriate level of detail for executive and Board audiences, translating technical or process-specific matters into clear business and risk implications without losing the substance necessary for informed oversight and decision-making.
  • Provide governance and controls leadership for significant business and technology transformation initiatives, ensuring control requirements are incorporated into process, system, security, and governance design.
  • Partner with Technology, Finance, business process owners, and program leadership on SAP S/4HANA and other significant system implementations to evaluate impacts to ICFR, technology controls, user access, segregation of duties, automated controls, and reporting dependencies.
  • Provide oversight of technology risk and control areas including ITGCs, privileged and user access management, segregation of duties, system configuration, automated controls, interfaces, reports, and other technology dependencies supporting key business processes.
  • Drive modernization of Business Assurance through automation, analytics, and emerging technologies, including AI-enabled capabilities, to improve testing efficiency, evidence evaluation, control monitoring, reporting, risk insights.
  • Identify opportunities to reduce duplicative assurance activities, increase external-audit reliance, strengthen control ownership, and improve the efficiency and sustainability of the control environment.
  • Lead, develop, and mentor a high-performing team of assurance professionals, establishing clear accountability, technical expectations, development priorities, and succession capability across governance, financial, technology, and compliance assurance disciplines.
  • Build organizational capability by developing team members, strengthening technical and business knowledge, and creating scalable methodologies, tools, and practices that enable consistent execution across assurance programs.

Experience and Qualifications:

Required Education and Experience:

  • Bachelor’s degree in Accounting, Finance, Business Administration, Information Systems, Risk Management, or related field
  • Minimum 15 years of progressive experience in governance, assurance, risk management, internal audit, compliance, or internal controls
  • Proven leadership and accountability for enterprise governance, assurance, risk management, compliance, or internal control programs within a complex organization
  • Experience leading governance frameworks, internal control programs, and assurance activities within a complex organization, including governance implementation, compliance monitoring, executive reporting, and continuous improvement initiatives, with demonstrated ability to integrate business process and technology risk considerations.
  • Experience overseeing SOX/ICFR, sustainability reporting controls, or comparable governance and control frameworks, including risk assessment, testing oversight, and remediation monitoring, technology controls, and evaluation of changes to the control environment.
  • Demonstrated experience partnering with external auditors and internal stakeholders to establish risk-based testing strategies, address control deficiencies, and support audit reliance.
  • Experience providing governance, risk, or controls leadership for significant technology or business transformation initiatives.
  • Working knowledge of technology controls, including ITGCs, application controls, user access management, segregation of duties, and technology dependencies supporting financial reporting.
  • Experience developing or transforming governance, risk, control, or assurance frameworks, methodologies, and operating models.
  • Proven ability to influence senior leaders, drive organizational alignment, and lead complex governance, risk, and assurance programs across multiple business functions.

Preferred Education and Experience:

  • CISA, CIA, CPA, or CRMA certification
  • Demonstrated ability to translate complex business process, technology, governance, risk, and control matters into clear, concise executive-level communications appropriate for senior leadership, Audit & Risk Committee, and Board of Directors audiences.
  • Proven track record of partnering with executive leadership and Aramco stakeholders to influence outcomes, strengthen accountability, and advance strategic business objectives.
  • Experience with SAP or other large-scale ERP environments; SAP S/4HANA transformation experience strongly preferred.
  • Knowledge of recognized governance and control frameworks such as COSO, COBIT, NIST, and relevant ISACA guidance.
  • Experience applying automation, analytics, continuous monitoring, or AI-enabled capabilities within governance, risk, controls, audit, or assurance activities.
  • Demonstrated ability to challenge existing processes and control structures, identify opportunities for rationalization and simplification, and implement sustainable improvements.
  • Strong executive presence and demonstrated ability to communicate governance, risk, assurance, and control matters to senior leadership, executive committees, and Boards.
