Job Responsibilities:
1. Manages Asia Structured DebtVertical (ASDV) transactions in collaboration with ASDV business units (BU), includingstructuring of transactions, negotiation of transaction documents, liaisingwith internal stakeholders and external counsel and managing transactions tocompletion.
2. Assist with, review andnegotiate deal-specific legal documentation (NDAs, NRLs, note issuancedocumentation, mandate letters, term sheets, loan agreements and securitydocumentation, legal opinions etc) on behalf of SMBC to ensure that the Bank’sposition is still preserved and internal requirements are adhered to whilestill managing commercial relationships with BU RMs.
3. Instructing and supervising thework of external counsel on ASDV transactional and advisory matters, incoordination with internal stakeholders as appropriate.
4. Supports other team members asrequired and co-ordinates with internal stakeholders both within Singapore and regionallyas appropriate.
5. Acts as a point of contact forthe ASDV originators and other internal stakeholders, to facilitate resolutionof issues, escalating more complex and atypical matters to more senior members.
6. Utilises expertise to makeindependent judgments to deal with a variety of situations, with appropriatesupervision and guidance from senior colleagues where appropriate.
Requirements for Vice President:
1. Law degree holder with at least 8-10 PQE. Good experience in providing legal advice on matters and transaction management services pertaining to the current set of ASDV products. Able to apply knowledge in area of specialization to produce “value-added” results.
2. In depth knowledge of a wide range of processes within various banking functions. Able to utilise knowledge and experience to implement effective control processes for the team, and to adapt to changing business needs.
3. At least 2 years’ post-qualification experience in securitisation, capital markets, derivatives or related areas.
4. Familiarity or exposure to CLOs, CLNs, TRS, CDS, leveraged notes, repacks, synthetic structures, derivatives desirable.
5. Team player and demonstrated ability to work across all levels of the organization. Strong stakeholder and people management skills to ensure the delivery of effective and compliant processes and solutions to facilitate the objectives of the team and the Bank.
6. Strong analytical, problemsolving attitude, with good communication skills and the ability to translatetechnical concepts into practical processes and operational strategies.
7. Proactive, independent and resourceful.
8. Able to work under time constraints and pressure.
