Notre client est un cabinet juridique et fiscal indépendant basé à Monaco, reconnu pour son expertise auprès d'une clientèle internationale de familles fortunées, d'entrepreneurs et de groupes multinationaux. Le cabinet propose une large gamme de services en gestion de patrimoine, droit fiscal, droit des affaires et droit social, avec une approche sur mesure et une portée internationale.

RESPONSABILITÉS PRINCIPALES

Le cabinet recherche un Juriste M&A ayant environ 5 ans dexpérience pour rejoindre son équipe dédiée aux opérations de fusions-acquisitions. Le candidat interviendra sur des dossiers complexes et stratégiques, accompagnant des entreprises multinationales, entrepreneurs, et investisseurs dans leurs transactions.

Les responsabilités incluront :

  • Conseiller les clients sur des opérations de fusions-acquisitions (M&A) nationales et internationales, notamment en structurant et en exécutant des transactions complexes.
  • Superviser les due diligences juridiques et fiscales pour identifier et évaluer les risques potentiels dans le cadre des transactions.
  • Négocier et rédiger les contrats de transaction (accords d'achat, pactes d'actionnaires, etc.) en veillant à la sécurité juridique et aux intérêts des clients.
  • Assurer le suivi de la gestion post-acquisition, y compris l'intégration juridique et la résolution des litiges éventuels liés aux transactions.
  • Collaborer avec des équipes multidisciplinaires internes et externes (fiscalistes, financiers) pour optimiser la structure des opérations.
  • Accompagner les clients dans les restructurations d'entreprises et les levées de fonds.
  • Gérer les contentieux et les aspects juridiques complexes des transactions.

EXPÉRIENCE

  • Environ 5 ans dexpérience en droit des affaires, avec une spécialisation en fusions-acquisitions, acquise au sein dun cabinet davocats ou en entreprise.
  • Expérience avérée dans la conduite de transactions complexes et dans le conseil aux entreprises sur des opérations internationales.
  • Bonne connaissance des réglementations internationales.

COMPÉTENCES

  • Bilingue en français et en anglais ; la maîtrise d'autres langues est un plus.
  • Solides compétences en négociation, rédaction de contrats et structuration des transactions.
  • Excellente capacité danalyse, d'organisation et de gestion des priorités.
  • Esprit d'équipe, avec une capacité à collaborer efficacement avec différents départements.
  • Discrétion et professionnalisme dans la gestion de dossiers confidentiels et sensibles.

QUALIFICATIONS

  • Master en Droit des Affaires ou équivalent, avec une spécialisation en M&A.
  • Compétences rédactionnelles solides et expérience internationale appréciée.
