Program Description:

The Restructuring and Special Situations Group (“RSSG”) advises both large and middle market companies, financial sponsors and creditor groups in financially distressed situations, both in Chapter 11 bankruptcy proceedings as well as in out-of-court restructuring, capital raising and strategic advisory transactions. Founded in 1991, the RSSG team consistently maintains an industry-leading market share, having advised on many of the largest and most high-profile reorganizations and liability management transactions that have occurred in the last decade.

Across restructuring and liability management transactions, the team provides a wide range of strategic advisory services, including analysis and advice on recapitalizations, reorganizations, exchange offers, distressed mergers and acquisitions, raising debt and equity capital, and providing expert witness testimony on a range of topics including corporate valuations.

Upon completion of training, Summer Associates in the Restructuring & Special Situations Group will have the opportunity to develop a broad corporate finance skillset. Financial restructuring transactions are inherently complex and involve multi-party negotiations with several key stakeholders including, among others, a board of directors, management, secured and unsecured lenders, equity holders, and, at times, the bankruptcy court. Summer Associates are integral to all aspects of a deal and are involved with the development, structuring, and financing of transactions, and regularly attend both client and internal meetings, negotiations, and due diligence sessions. Summer Associates receive exposure to and training on the full spectrum of complex issues that arise in restructurings, including valuation analysis, capital raising, mergers and acquisitions, asset sales, credit negotiations, exchange offers and Chapter 11 reorganizations, while coordinating closely with their deal teams and often working directly with senior level bankers.

Responsibilities:

Summer Associates have responsibility for guiding transactions on a day-to-day basis. These responsibilities include:

  • Performing due diligence with the client;
  • Developing detailed business plans;
  • Building comprehensive financial models to be used as part of restructuring transactions, capital raises, and/or corporate valuations;
  • Analyzing credit and other legal governing documents;
  • Evaluating financial returns to current and potential investors;
  • Attending key client negotiating and strategy sessions;
  • Assisting in the preparation of a plan of reorganization and disclosure statement materials for Chapter 11 cases; and
  • Managing and developing all key client deliverables.

Qualifications:

PJT Partners seeks to hire individuals who are highly motivated, intelligent and have excellent academic, leadership and extracurricular records. In addition, qualified candidates will possess the following:

  • Strong interest in restructuring and distressed finance (prior experience in restructuring is not required)
  • Outstanding qualitative, technical, and analytical skills
  • Professional and confident communication skills to interface with senior management at clients and internal deal teams
  • Strong work ethic with the ability to thrive in a collaborative and team-oriented culture
  • Robust organizational and time management skills
  • Robust knowledge of accounting and corporate finance

Requirements:

To be considered for the 2027 Summer Associate Program, applicants must meet the following criteria:

  • Currently enrolled in an MBA program*
  • Anticipated graduation date: December 2027 – Spring 2028
  • Resume must include expected graduation month/year
  • Completion of “Suited” Assessment. Please see below for more details.

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
