The posting

At Qualia, we've built the leading B2B real estate technology that transforms the home buying and selling experience into a simple, secure, and enjoyable process. Our SMB and Enterprise products bring together users from across the real estate ecosystem—homebuyers and sellers, lenders, title and escrow agents, and real estate agents—onto a single shared digital closing platform, providing greater clarity and transparency to real estate transactions. Today, through our business customers across the country, millions of consumers use Qualia to close on homes every year.

WHAT YOU'LL WORK ON

Our Legal team is small but mighty, and we support every part of the business across a wide range of matters. As Corporate Counsel, you will be a key member of the team with two primary areas of ownership: corporate legal matters and commercial contracts. This is an individual contributor role reporting to our Associate General Counsel, who leads commercial partnerships, corporate, and procurement legal work.

On the corporate side, you will support board and stockholder matters, and the legal workstreams for financings, M&A, and other corporate transactions. On the commercial side, you will draft, negotiate, and advise on strategic partnership, customer, and procurement agreements, and help business teams understand deal structure and risk. You will work directly with legal, finance, and business leaders, help manage outside counsel, and help keep our templates, playbooks, and processes sharp, including by using AI tools to streamline our work.

RESPONSIBILITIES

Corporate

  • Prepare board and stockholder consents, resolutions, meeting materials, and maintain the corporate minute book and records
  • Assist in supporting equity management with Finance and People teams, including plan documents and stock transfers
  • Manage subsidiaries and entity matters, including formations, and officer and director appointments
  • Support the legal workstreams for financings, secondary transactions, and M&A, including due diligence and disclosure schedules
  • Help scope and manage outside counsel

Commercial Contracts

  • Draft, review, and negotiate a high volume of commercial agreements, including strategic partnership and vendor/SaaS agreements
  • Partner with Procurement, Security, IT, and Finance on vendor review and contracting
  • Advise business teams across sales, partnerships, finance, product, and operations on deal structure and risk, and explain legal issues clearly to non-lawyers
  • Identify intellectual property, data privacy, and regulatory issues in contracts and escalate as appropriate
  • Help develop and maintain contract templates, playbooks, and guidelines, and provide practical training to internal teams on contracting basics and process

YOUR BACKGROUND THAT LIKELY MAKES YOU A MATCH

Required

  • JD and active bar membership in good standing in at least one U.S. jurisdiction
  • 3–6 years of corporate experience at a law firm and/or in-house at a technology company
  • Corporate experience: hands-on corporate governance work and exposure to venture financings, M&A diligence, and/or disclosure schedules
  • Commercial experience: meaningful experience drafting and negotiating commercial agreements, such as partnership, SaaS/technology, and procurement contracts
  • Solid understanding of intellectual property, data protection, and privacy issues in software agreements
  • Strong issue-spotting instincts: review a document, find what matters, and explain why
  • Excellent communication and negotiation skills; comfortable advising senior stakeholders and pushing back constructively
  • Ability to work collaboratively and independently, managing multiple priorities in a fast-paced environment
  • Hands-on experience using generative AI tools such as Claude in your legal work

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
