About Wall Street Prep

Founded in 2004 by investment bankers, Wall Street Prep (WSP) is a leading provider of professional skills training in financial and valuation modeling. Our mission is to bridge the gap between academia and the real world by equipping finance professionals and students with practical, hands-on skills.

We partner with top-tier investment banks, private equity and investment management firms, Fortune 500 companies, and elite undergraduate and MBA programs. Our training is delivered through engaging in-person classroom sessions and via our industry-leading online learning platform, all designed by experienced finance professionals.

Position Overview

As a Restructuring / Distressed Investing Instructor, you will design and deliver practical, technical training for professionals working in restructuring advisory, distressed credit, and special situations investing. You will translate firsthand transaction and investment experience into engaging instruction on evaluating distressed businesses, assessing liquidity and capital structures, modeling recoveries, and analyzing restructuring alternatives.

In this role, you will:

  • Serve as a lead instructor for restructuring and distressed investing training programs
  • Help professionals develop the analytical, modeling, and commercial judgment required to advise stakeholders and evaluate investments in stressed and distressed situations
  • Enhance your presentation and coaching skills, expand your professional network, and establish yourself as a thought leader in restructuring and distressed investing education

The ideal candidate has direct experience in restructuring investment banking, turnaround advisory, distressed investing, or special situations credit and brings both practitioner credibility and a genuine passion for teaching.

Key Responsibilities

Deliver live in-person and virtual training to investment banks, advisory firms, investment managers, and other financial institutions, covering topics such as:

  • Assessing financial distress, business viability, and restructuring catalysts
  • Analyzing capital structures, debt instruments, credit agreements, and covenants
  • Building liquidity forecasts, including 13-week cash flow models, and evaluating financing needs
  • Developing integrated financial models and turnaround business plans
  • Applying valuation methodologies to distressed businesses, including going-concern and liquidation analyses
  • Building recovery waterfalls and assessing priority, collateral coverage, and structural subordination
  • Evaluating out-of-court restructurings, exchange offers, liability management transactions, and in-court restructuring alternatives
  • Understanding the financial implications of Chapter 11 processes, debtor-in-possession financing, asset sales, and exit financing
  • Developing distressed investment theses, identifying potential fulcrum securities, and modeling returns under different restructuring outcomes

Collaborate on curriculum development, including:

  • Designing workshop agendas, learning outcomes, transaction case studies, financial models, exercises, and assessments
  • Editing and updating training materials to ensure relevance, accuracy, and alignment with current market practice
  • Developing learning materials for audiences ranging from new analysts to experienced advisory and investment professionals

Support practical learning and instructor development:

  • Guide participants through modeling exercises, restructuring scenarios, and investment case studies, providing clear, actionable feedback
  • Facilitate discussion of stakeholder incentives, negotiation dynamics, and the risks and tradeoffs associated with different restructuring outcomes
  • Incorporate appropriate confidentiality and professional standards into all instruction and case materials
  • Complete WSP’s Train-the-Trainer Program, a structured professional development initiative for new instructors

What We Are Looking For

  • Experience: Significant firsthand experience in restructuring investment banking, turnaround and restructuring advisory, distressed debt investing, special situations, or a closely related field. Direct involvement in restructuring transactions or distressed investment underwriting is strongly preferred.
  • Financial Modeling: Strong proficiency in Excel and the ability to build, explain, and teach liquidity forecasts, integrated financial models, distressed valuation analyses, recovery waterfalls, and investment return scenarios.
  • Restructuring Knowledge: Practical understanding of in-court and out-of-court restructuring processes, capital structure solutions, liability management transactions, debtor-in-possession financing, and exit financing.
  • Credit and Capital Structure Analysis: Ability to evaluate debt terms, covenant provisions, collateral, guarantees, seniority, and structural subordination and explain their implications for stakeholders and recoveries.
  • Investment Judgment: Ability to assess downside risk, identify catalysts, develop investment theses, and evaluate potential returns across restructuring scenarios. Candidates with an advisory background should be comfortable connecting transaction analysis to creditor and investor decision-making.
  • Teaching & Communication: Exceptional presentation, facilitation, and coaching skills, with the ability to translate complex financial concepts into clear, engaging learning experiences.
  • Practical Application: Ability to draw on transaction or investment experience to develop realistic case studies and explain stakeholder incentives, negotiation dynamics, and execution considerations.
  • Professional Standards: Strong judgment regarding confidentiality, material nonpublic information, and the appropriate use of transaction and investment examples in a classroom setting.
  • Education: Bachelor’s degree required; an MBA, CFA, CPA, CIRA, or other relevant professional designation is preferred but not required.

Availability

  • Part-time, project-based commitment with availability for multi-day training engagements
  • Weekday availability is highly desirable, with flexibility based on client schedules
  • Ability to conduct week-long or multi-week seminars is highly desirable
  • Flexibility to deliver programs virtually and travel domestically or internationally for in-person engagements

Compensation & Benefits

  • Compensation: Highly competitive daily rate
  • Benefits: All approved travel and accommodation expenses covered by WSP
  • Paid professional development through WSP’s Train-the-Trainer Program
  • Opportunities to deepen your expertise in restructuring, distressed credit, and special situations investing
  • Expand your professional network across leading financial institutions and advisory firms
  • Develop exceptional facilitation, coaching, public speaking, and presentation skills
  • Join an energetic, entrepreneurial-minded team that values collaboration and innovation

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
