About the Role

At Pavago, one of our clients is hiring an experienced Attorney / Corporate Counsel to provide practical, business-focused legal guidance across corporate matters, commercial contracts, compliance, governance, and risk management.

This is a business-facing legal role, not simply a contract review position. You’ll work closely with leadership and cross-functional teams to help the organization make informed decisions, protect its interests, and operate within applicable legal and regulatory requirements.

You’ll take ownership of commercial contract drafting and negotiation, corporate governance, legal research and advisory, regulatory compliance, dispute coordination, and legal risk management.

If you combine strong legal judgment with a practical understanding of business operations and know how to manage risk without unnecessarily slowing down the business, this role is a strong fit.

What You’ll Own

Commercial Contracts – Drafting, Review & Negotiation

  • Draft, review, revise, and negotiate:
  • NDAs
  • Master Service Agreements (MSAs)
  • Service agreements
  • Vendor agreements
  • Employment agreements
  • Commercial contracts
  • Leases
  • Other business agreements
  • Identify unfavorable, ambiguous, or high-risk contractual provisions
  • Recommend practical revisions and risk-mitigation strategies
  • Support leadership during commercial negotiations
  • Balance appropriate legal protection with business objectives
  • Maintain accurate contract versions, approvals, and executed agreements

Legal Research & Business Advisory

  • Conduct legal research using resources such as:
  • Westlaw
  • LexisNexis
  • Practical Law
  • Research applicable laws, regulations, and case law
  • Translate complex legal issues into clear, actionable business guidance
  • Advise leadership and internal stakeholders on legal and operational risks
  • Help teams make commercially practical decisions while maintaining appropriate legal protections
  • Prepare legal memoranda and recommendations when required

Corporate Governance

  • Draft and maintain:
  • Corporate resolutions
  • Operating agreements
  • Governance documents
  • Corporate records and filings
  • Support entity governance and corporate housekeeping
  • Maintain accurate and organized legal records
  • Assist leadership with governance-related requirements and documentation
  • Help ensure corporate actions are properly documented

Compliance & Risk Management

  • Monitor relevant regulatory and compliance requirements
  • Support matters involving areas such as:
  • Employment law
  • Data privacy
  • GDPR
  • HIPAA
  • FTC requirements
  • SOX
  • Industry-specific regulations
  • Help develop and maintain internal policies and compliance procedures
  • Identify potential legal exposure before it becomes a larger business risk
  • Maintain organized, audit-ready compliance documentation
  • Recommend practical approaches to reducing legal and regulatory risk

Disputes & Litigation Support

  • Draft legal correspondence and litigation-related documentation when required
  • Assist with:
  • Pleadings
  • Motions
  • Discovery responses
  • Case documentation
  • Coordinate matters with outside counsel
  • Track litigation deadlines and required filings
  • Support dispute-resolution and risk-mitigation strategies
  • Maintain accurate records of active legal matters

Legal Operations & Documentation

  • Maintain organized and secure:
  • Legal files
  • Contract databases
  • Compliance records
  • Matter documentation
  • Improve contract and legal review workflows
  • Standardize templates and recurring legal processes
  • Maintain clear tracking of legal matters and deadlines
  • Ensure documentation remains searchable, current, and audit-ready

Requirements

  • Juris Doctor (JD) or equivalent law degree
  • Active bar admission in at least one U.S. jurisdiction
  • 3+ years of legal practice experience within a law firm, corporate legal department, or similar environment
  • Demonstrated experience drafting, reviewing, and negotiating commercial agreements
  • Experience providing legal and compliance guidance
  • Strong understanding of corporate and commercial legal matters
  • Excellent legal research and analytical skills
  • Strong written and verbal English communication
  • Ability to independently manage multiple legal matters and competing deadlines
  • High standards of confidentiality, ethics, discretion, and professional judgment
  • Ability to work during U.S. client business hours

What a Typical Day Looks Like

Throughout the day, you could negotiate an MSA, research a regulatory question, review an employment agreement, prepare corporate documentation, coordinate with outside counsel, or assess the legal implications of a business decision.

You’ll also ensure contracts, active legal matters, compliance obligations, and deadlines remain properly documented and tracked.

In short: you help the organization move quickly and confidently while managing legal exposure and maintaining appropriate compliance.
