The posting

- Assurer la gestion d’un service complet de conseil juridique au bénéfice de l’Unité Opérationnelle (OU), en apportant un appui-conseil, en intervenant dans la négociation, en rédigeant les contrats et avis juridiques, ainsi qu’en assurant la gestion du contentieux.

- Fournir l’ensemble des prestations de secrétariat juridique, notamment en exerçant les fonctions de Secrétaire de société au sein de l’OU et des coentreprises, en participant aux réunions des Conseils d’administration, en assurant la tenue des registres légaux et en procédant au dépôt des déclarations et formalités réglementaires requises.

- Piloter le service juridique afin de garantir que l’OU puisse atteindre ses objectifs stratégiques et commerciaux avec un accompagnement juridique optimal.

- Superviser, encadrer et contrôler les instructions ainsi que les dépenses engagées auprès des cabinets d’avocats externes mandatés pour la fourniture de prestations juridiques.

- Fournir des avis et conseils juridiques pertinents, proactifs et adaptés aux besoins de l’activité.

- Assurer la liaison avec l’ensemble des fonctions et départements en vue de favoriser des relations de travail transversales, collaboratives et efficientes.

- Conseiller, orienter et sensibiliser la direction ainsi que l’ensemble des collaborateurs sur les problématiques juridiques appropriées.

Requirements

Nous recherchons un candidat (H/F) répondant aux critères suivants :

v Niveau académique et formation

- Diplôme requis : Minimum BAC+5 en droit des affaires et/ou en droit du travail.

- Avocat ou conseil juridique qualifié, justifiant d’au moins cinq (05) années d’expérience postérieure à l’admission au barreau, de préférence acquises en cabinet privé.

- Solide connaissance de l’entreprise, de ses activités ainsi que du secteur pétrolier.

- Langue : Bilingue (Anglais-Français)

v Compétences techniques

Afin d’assurer une prestation managériale et de conseil juridique de qualité au sein de l’OU, le titulaire du poste devra posséder des compétences ainsi qu’une expérience professionnelle avérée dans, autant que possible, les domaines suivants :

- Contrats de vente au détail et accords commerciaux

- Accords d’approvisionnement et de distribution

- Droit immobilier et opérations foncières

- Contentieux et procédure judiciaire

- Droit du travail

- Droit des sociétés et pratique du secrétariat juridique

- Droit de la concurrence

v Compétences fonctionnelles :

- Analyse et conseil juridique sur des problématiques complexes (droit des affaires, travail, contrats)

- Rédaction, négociation et gestion de contrats commerciaux et stratégiques

- Gestion des contentieux et coordination avec les avocats externes

- Maîtrise du droit des sociétés et des obligations de secrétariat juridique (gouvernance, JV, conformité)

- Gestion des risques juridiques et conformité (compliance, concurrence, anticorruption)

- Capacité de négociation et communication avec des interlocuteurs internes et externes

- Compréhension des enjeux business (retail, distribution, supply chain, secteur pétrolier)

- Supervision des conseils juridiques externes et maîtrise des coûts juridiques
