The posting

Nos encontramos en búsqueda de un nuevo talento para integrarse al equipo legal, para brindar soporte jurídico y seguimiento de los asuntos corporativos y contractuales de la empresa, contribuyendo al cumplimiento de las obligaciones legales y contractuales aplicables y dando seguimiento oportuno a los distintos proyectos y operaciones de la compañía.

Principales funciones:

- Asesoramiento jurídico en operaciones societarias de distinta índole.

- Participa en la constitución de sociedades mercantiles de capital (redacción de acuerdos sociales y parasociales, redacción de estatutos, trámites notariales y coordinación con el Registro Mercantil para la inscripción).

- Elaboración de la documentación societaria de las sociedades que integran el Grupo: actas de Junta General, actas del órgano de administración, redacción de poderes a nivel nacional e internacional.

- Redacción y revisión de contratos de obra, así como financieros, arrendamientos, prestación de servicios, compraventas, etc.

- Preparación de acuerdos de confidencialidad (NDA) y acuerdos de colaboración y la revisión de los mismos facilitados por terceros.

- Elaboración de informes jurídicos de su gestión en obra.

- Control, seguimiento y auxilio a procedimientos jurídicos de cualquier área del derecho.

- Coordinación de asuntos con abogados externos.

-Integración, organización y seguimiento de archivo jurídico.

-Brindar soporte al área jurídica.

CONOCIMIENTOS

-Licenciatura en Derecho (Titulado)

- Experiencia en Derecho civil, mercantil y societario (portar órganos consejo, juntas, política de poderes)

- Indispensable contar con experiencia en el sector y en el Derecho de la Construcción (experiencia con reclamaciones obra, contratos obra, constitución UTEs, etc.)

REQUISITOS

- Buscamos profesionales graduados en Derecho

- Al menos 5 años de experiencia previa ejerciendo como abogado/a in-house en empresa Constructora o en consultoría especializada en dicha rama del derecho.

- Persona con carácter proactivo, disciplinado, seguro, con capacidad de cooperación con el resto de los departamentos. Tener don de gentes y habilidades de negociación.

- Disponibilidad de incorporación inmediata

- Disponibilidad para viajar (a proyectos)
