Job Location: Ahmedabad, Corporate Office

Experience: Min 10 to 15 years of experience as a CS (Company Secretary) role, preferably with the pharma sector and working knowledge and experience of working in a Listed Company

Role Summary:

We are looking for a qualified Company Secretary to own the secretarial and corporate governance functions. This role is for someone who can run day-to-day statutory compliance, while building the governance discipline and shall be part of Secretarial team

Key Responsibilities:

  1. Ensure compliances with the Companies Act and Rules, Securities Laws, Secretarial Standards;
  2. Ensure compliances with SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, SEBI (Prohibition of Insider Trading) Regulations 2015, SEBI (Substantial Acquisitions of Shares and Takeover) Regulations, 2011, Secretarial Standards;
  3. Identify and ensure compliances with the disclosure and filing requirements under the Companies Act and SEBI Laws and uploads on websites;
  4. Should have working knowledge on pre and post Meeting formalities including follow-up actions thereof;
  5. Identify the requirements of forms filing with the ROC as per Companies Act and rules and comply with them for regular events and for any specific event as and when occurred;
  6. Drafting and finalising Agenda, minutes and to keep minutes book up to date;
  7. Maintain, make entry and keep up to date various Statutory Registers, books, records required to be maintained under the Companies Act and Rules;
  8. Coordinating with internal, statutory and secretarial auditors and to collect, compile, collate and provide them the documents/details requested for audits;
  9. Identify and inform the changes in the policy or requirement of formation of new policy pursuant to amendment of Law and keep up to date the policies, programmes, codes required under the Laws and assist in the creation and implementation of corporate policies and procedures;
  10. Risk management & Compliance.

Qualifications:

  • Member of ICSI-mandatory (LLB will be an advantage) Demonstrated experience in a listed company
