Dla naszego Klienta, poszukujemy doświadczonego Prawnika, który będzie odpowiadał za kompleksową obsługę prawną struktur Family Office w Polsce, zapewniając bezpieczeństwo prawne, zgodność działalności z obowiązującymi przepisami oraz wsparcie właścicieli i spółek portfelowych w zakresie ładu korporacyjnego, zarządzania i realizacji strategicznych przedsięwzięć.

  • kompleksowe doradztwo prawne na rzecz Family Office oraz podmiotów należących do grupy,
  • bieżące wsparcie właścicieli i kadry zarządzającej w zakresie decyzji biznesowych i strategicznych,
  • przygotowywanie, opiniowanie oraz negocjowanie umów handlowych, inwestycyjnych i korporacyjnych,
  • koordynacja współpracy z zewnętrznymi kancelariami prawnymi i doradcami,
  • zapewnienie zgodności działalności spółek z obowiązującymi przepisami prawa oraz regulacjami wewnętrznymi,
  • projektowanie, wdrażanie i nadzorowanie systemów compliance,
  • monitorowanie zmian legislacyjnych oraz ocena ich wpływu na działalność grupy,
  • przygotowywanie i aktualizacja polityk, procedur oraz regulaminów wewnętrznych,
  • identyfikacja i zarządzanie ryzykiem prawnym i regulacyjnym,
  • prowadzenie pełnej obsługi korporacyjnej spółek prawa handlowego,
  • organizacja i obsługa posiedzeń zarządów, zgromadzeń wspólników oraz innych organów,
  • przygotowywanie uchwał, dokumentacji korporacyjnej oraz dokumentów rejestrowych,
  • nadzór nad obowiązkami wynikającymi z Kodeksu spółek handlowych oraz innych przepisów,
  • pełnienie w zależności od potrzeb organizacji – funkcji Członka Zarządu lub Prokurenta w wybranych spółkach.
  • wykształcenie wyższe prawnicze,
  • minimum 8-10 lat doświadczenia zawodowego, w tym w obsłudze spółek i prawa korporacyjnego,
  • bardzo dobra znajomość prawa handlowego, cywilnego oraz zasad corporate governance,
  • praktyczne doświadczenie w budowaniu i nadzorowaniu systemów compliance,
  • doświadczenie w obsłudze struktur holdingowych, grup kapitałowych lub Family Office będzie istotnym atutem,
  • doświadczenie w pełnieniu funkcji członka organów spółek lub prokurenta będzie dodatkowym atutem,
  • wysoki poziom etyki zawodowej, dyskrecji oraz odpowiedzialności,
  • bardzo dobra znajomość języka angielskiego w mowie i piśmie.
