Misión del puesto

Liderar y asegurar la atención jurídica estratégica de nuevos productos, asuntos internacionales, temas bursátiles y contratos de alta complejidad, proporcionando asesoría preventiva y soluciones legalmente sólidas que habiliten los objetivos del negocio, protejan los intereses del Grupo y aseguren el cumplimiento del marco normativo aplicable. Coordinar la evaluación de riesgos, la negociación de instrumentos y la relación con áreas internas, asesores externos, contrapartes y autoridades, elevando oportunamente a la Dirección Ejecutiva Jurídica los asuntos de impacto relevante.

Funciones

Estrategia y asesoría jurídica: Definir criterios legales y brindar asesoría ejecutiva en asuntos corporativos de alta complejidad, equilibrando viabilidad de negocio, cumplimiento, riesgo y reputación.

2 Nuevos productos Dirigir el análisis jurídico, estructuración, documentación y acompañamiento regulatorio de nuevos productos y modificaciones relevantes, coordinando a las áreas técnicas, comerciales, operativas, actuariales, de cumplimiento y regulatorias.

3 Asuntos internacionales Coordinar la revisión legal de operaciones, alianzas, contratos y proyectos transfronterizos; identificar implicaciones regulatorias, corporativas, fiscales y contractuales en conjunto con especialistas locales y asesores externos.

4 Temas bursátiles Supervisar la atención jurídica de obligaciones y operaciones vinculadas con el mercado de valores, incluyendo documentación corporativa, revelación de información, actos societarios y coordinación con las áreas responsables y asesores especializados.

5 Contratos estratégicos Liderar la elaboración, revisión, negociación y formalización de contratos nacionales e internacionales de alta complejidad, definiendo posiciones de negociación y cláusulas de protección para el Grupo.

6 Gobierno y gestión de riesgos legales:

Identificar, valorar y monitorear riesgos jurídicos; establecer controles, criterios, matrices de riesgo y rutas de escalamiento para decisiones sensibles o de alta exposición.

7 Cumplimiento regulatorio: Vigilar la incorporación oportuna de cambios legales y regulatorios relacionados con su ámbito de responsabilidad, traduciendo sus impactos en acciones, lineamientos y recomendaciones para el negocio.

8 Gestión de controversias preventivas: Intervenir preventivamente en diferencias contractuales o comerciales, diseñando alternativas de solución y coordinando, cuando corresponda, la estrategia con litigio y asesores externos.

9 Coordinación transversal Articular la atención jurídica con Finanzas, Contraloría, Cumplimiento, Riesgos, Productos, Operaciones, Reaseguro, Auditoría y unidades de negocio, asegurando responsables, entregables y decisiones oportunas.

10 Gestión de asesores externos Seleccionar, coordinar y evaluar despachos y especialistas nacionales e internacionales, controlando alcance, calidad, oportunidad, confidencialidad y honorarios.

11 Información ejecutiva Presentar a la Dirección Ejecutiva Jurídica diagnósticos, escenarios, riesgos y recomendaciones sobre asuntos relevantes, manteniendo expedientes y trazabilidad de decisiones.

12 Liderazgo técnico Establecer estándares de calidad jurídica, distribuir asuntos, revisar entregables y desarrollar las capacidades técnicas del equipo o de los colaboradores asignados.
