ABOUT THE ROLE Can you keep a multi-jurisdiction group's entities, registers, and UBO filings straight in your head, and know exactly what needs fixing before someone asks? Are you open to drafting an intragroup agreement and answering some sales team's questions about VAT? We're looking for a Legal Counsel (Corporate) to join our in-house legal team and work across corporate/group structure matters. You'll work alongside the legal team, finance team, external advisors, and product teams - owning both the day-to-day casework and the proactive work of spotting what needs attention before it becomes a problem.

WHAT YOU'LL DO

  • Managing the entity lifecycle across multiple jurisdictions within an international group — changes of directors/shareholders/ultimate beneficial owners (UBOs), register updates, corporate approvals (dividends, loans, IP transfers, etc.);
  • Monitoring corporate matters and changes across the group, initiating them and seeing them through — proactively identifying what needs to be updated, resolved, or prepared;
  • Drafting and maintaining intragroup agreements (services, IP supply/licensing, loans, etc.), keeping them aligned with the group's transfer pricing position together with the finance team and tax advisors;
  • Coordinating external counsel, tax advisors, and corporate service providers — scoping the work and reviewing their deliverables.
  • Coordinating with finance and external tax advisors on related formalities, such as tax registrations of group entities or tax documents requested by clients.

WHAT WE EXPECT

  • Education: Master's degree in law;
  • Experience: At least 4 years' experience in corporate law, with cross-border group structures;
  • International exposure: Working across multiple jurisdictions and coordinating external advisors;
  • Drafting skills: Able to independently prepare agreements, minutes, and resolutions;
  • Mindset: Proactive, independent, and a team player — able to identify issues and drive them to completion;
  • Language: Fluent English.
  • Nice to have: Tax knowledge and familiarity with transfer pricing — able to draft intragroup agreements and work alongside tax advisors and the finance team, comfortable dealing with cross-border tax and VAT questions;

SUCCESS IN THE FIRST 90 DAYS

  • Knows the group inside out — entities, jurisdictions, ownership, and the state of registers and UBO filings;
  • Handles corporate matters independently — director/UBO changes, resolutions, register updates, and external-advisor coordination;
  • Start becoming a contact internally for tax and finance questions — including VAT/tax registration needs and sales-team requests, coordinating with finance and external advisors;
  • Works proactively — initiates and drives matters end-to-end.
