The Role

We are looking for a commercially minded and hands-on Group Legal Counsel to join our Group Legal team and support the legal requirements of the Group and its subsidiaries across multiple jurisdictions.

Reporting to the Group Senior Legal Counsel, you will work closely with business teams and senior management on a broad range of legal matters, with a particular focus on the Group's video game publishing, licensing and distribution activities, as well as commercial contracts, intellectual property, corporate transactions, M&A, investments, corporate governance and regulatory matters.

As part of a Nasdaq-listed group with international operations, you will gain exposure to cross-border transactions, listed-company matters and strategic initiatives across the Group, including the Group's business and publishing activities in China and Greater China.

This is a hands-on and commercially focused role suited to a lawyer who is comfortable independently managing day-to-day legal matters, taking ownership of projects, working directly with commercial teams and providing practical, solutions-oriented legal advice. The role will also provide opportunities to work on more complex cross-border transactions and strategic projects alongside the Group Senior Legal Counsel and external advisers.

Key Responsibilities

  • Provide legal support for the Group's video game publishing, licensing and distribution operations across multiple jurisdictions, including China and Greater China.
  • Draft, review and negotiate a broad range of game publishing, licensing, development and distribution agreements, as well as technology, vendor, service, partnership and other commercial agreements.
  • Work closely with commercial teams on negotiations with game developers, publishers, platforms, distributors and other business partners.
  • Advise internal stakeholders on contractual terms, legal and commercial risks, risk mitigation and applicable regulatory requirements, providing practical and commercially focused advice.
  • Advise on contractual arrangements relating to publishing and distribution rights, territories, exclusivity, revenue sharing, royalties, intellectual property ownership, marketing rights and other commercial arrangements.
  • Provide legal support on intellectual property matters, including IP ownership, licensing, development, publishing and commercialisation.
  • Support the business on relevant regulatory and compliance matters, including game publishing and content-related requirements, data protection and other regulations applicable to the Group's operations, working with local or specialist counsel where appropriate.
  • Support the Group Senior Legal Counsel on M&A transactions, investments, joint ventures, restructurings and other strategic projects, including legal due diligence, transaction documentation and coordination with external advisers.
  • Support corporate governance and Board matters, including the preparation and review of Board and shareholder documentation, minutes, written resolutions and other corporate approvals.
  • Liaise and coordinate with external law firms, corporate secretaries and other professional advisers across relevant jurisdictions.
  • Assist with legal disputes, claims and other contentious matters, including coordination with external counsel where required.
  • Handle and resolve routine corporate and commercial legal matters independently, escalating material, complex or high-risk matters to the Group Senior Legal Counsel as appropriate.
  • Maintain legal documentation, contract records and legal systems, ensuring that legal information and records are accurate and up to date.
  • Support other legal projects, corporate exercises and ad hoc matters as required.

Requirements

  • Bachelor's Degree in Law from a recognised institution.
  • At least 5 years of relevant legal experience, gained in a law firm and/or in-house legal environment.
  • Strong experience in commercial contract drafting, review and negotiation, particularly in relation to Singapore law.
  • Experience in gaming, video game publishing, digital entertainment, technology, media or other IP-driven industries would be advantageous.
  • Familiarity with PRC legal and regulatory frameworks, particularly those relevant to gaming, publishing or digital businesses, would be advantageous but is not required.
  • Strong legal research skills, including the ability to research and understand legal and regulatory requirements across foreign jurisdictions.
  • Strong problem-solving skills and commercial judgement, with the ability to provide practical and solutions-oriented legal advice.
  • Able to work independently and take ownership of legal matters, while collaborating effectively with stakeholders across different levels, functions and jurisdictions.
  • Resourceful and adaptable, with the ability to respond effectively to changing business requirements, timelines and priorities in a fast-paced environment.
  • Strong organisational and follow-through skills, with the ability to manage multiple legal matters and deadlines concurrently.
  • Strong communication, drafting and negotiation skills.
  • Proficiency in English and Chinese (Mandarin) is required to support contract negotiations and business dealings with Chinese-speaking partners and stakeholders.
  • Singapore Citizens and Permanent Residents preferred. Candidates holding a valid LTVP/LTVP+ and eligible for a Letter of Consent (LOC) are also welcome to apply.
