## Eligibility Requirements / 任职要求

1. Must be a Singapore citizen or permanent resident ordinarily residing in Singapore.须为通常居住于新加坡的新加坡公民或永久居民。**The position requires a locally resident director who can continuously fulfil statutory and regulatory duties.／该岗位须由能够持续履行法定及监管职责的新加坡常住董事担任。

2. Must not be disqualified from acting as a director or be an undischarged bankrupt.不得被取消或限制担任董事的资格，且不得为未解除破产状态人士。

3. Must be fit and proper, with no material adverse record involving fraud, dishonesty, money laundering or related offences.须为适当人选，且无涉及欺诈、不诚实、洗钱或相关罪行的重大不良记录。

4. Must have sufficient judgment, knowledge, time and capacity to perform the role, and agree to ongoing compliance reviews and disclosure of material changes.须具备履职所需的判断力、知识、时间及能力，并接受持续合规审查及披露重大变化。

5. Proficiency in both English and Mandarin is required, as the role involves communicating with English- and Mandarin-speaking clients and reviewing corporate, compliance documents in both languages.须具备良好的中英文能力，因为该岗位需要与英语及普通话客户沟通，并审阅中英文公司、合规文件。

## Scope of Duties / 工作职责

1. Act honestly, independently and in the Company’s best interests, and review or sign documents only after obtaining sufficient information.诚实、独立并以公司最佳利益行事，仅在取得充分资料后审阅或签署文件。

2. Reasonably oversee statutory filings, financial records, company registers, tax matters and other compliance obligations.合理监督法定申报、财务记录、公司登记册、税务及其他合规事项。

3. Where properly authorised, assist with Corppass permissions without sharing personal Singpass, Corppass or login credentials.在获得适当授权后协助处理Corppass权限，但不得共享个人Singpass、Corppass或登录资料。

4. Subject to independent review and compliance approval, cooperate with identity verification, meetings, resolutions and necessary signing for bank accounts, payment accounts, employment passes or other services.经独立审查及合规批准后，合理配合银行账户、支付账户、就业准证或其他服务所需的身份核验、会议、决议及签署。

5. Assist in maintaining the register of nominee directors and providing required information to ACRA.协助维护挂名董事登记册并向ACRA提交所需资料。

6. Refuse or suspend cooperation and take appropriate action where false information, suspicious transactions, unlawful activities or material compliance risks are identified.发现虚假资料、可疑交易、违法经营或重大合规风险时，有权拒绝或暂停配合并采取适当措施。
