The posting

Key duties and responsibilities

The role will report directly to the Chief Legal Officer. The successful candidate will be expected to work-from- office four times a week (with Monday being a fixed work-from-office day), with one work-from-home day per week. The Paralegal will support the Legal Team in delivering efficient, accurate and commercially practical legal services across Fullerton’s asset management, fund operations, corporate governance, regulatory and vendor-related activities.

Specific duties may include, without limitation:

  • Administration: Handle recurring administrative matters, such as the processing of legal invoices and expense claims.
  • Advice: Convey basic legal advice and factual/process guidance to stakeholders, with support from senior lawyers where needed.
  • Agreements: Draft fee rebate, non-disclosure and sponsorship agreements using the firm’s template. Prepare amendment and termination notices in respect of existing agreements. Review audit letters, engagement letters, vendor and other agreements, all with the help of AI contract review tools and support from senior lawyers where needed.
  • Board Meetings: Coordinate corporate/fund board meeting logistics, agendas, papers, action lists and post-meeting follow-up. Draft or review board minutes with or without using AI transcription tools.
  • Board Resolutions: Drawing from the firm’s existing precedents, draft basic corporate and fund board resolutions relating to annual returns and audited financial statements, capital injections, dividends, new share classes, share issuances, share transfers, etc.
  • Contract Repository: Systematically populate a smart contract repository with the firm’s entire suite of agreements. Take ownership for uploading clean data and for the accurate extraction and entry of all relevant meta data for each contract.
  • Corporate Secretarial: Maintain the firm’s list of directorships, supervisors and equivalent positions for its corporate, fund and investment entities.
  • Digitalisation: General support for the legal department’s drive to automate and digitalise the delivery of legal services.
  • Disclaimer Bank: Systematically review the firm’s agreements with selected vendors/licensors (with the help of an AI contract repository) and take end-to-end ownership for updating a disclaimer bank.
  • Document Execution: Assist with the obtaining of internal approvals, execution of documents and dissemination/proper storage of executed documents.
  • Due Diligence: Assist with legal due diligence by compiling and redacting requisitioned documents as needed.
  • Fund Documentation: Serve as a liaison between internal stakeholders (including the product team) and external counsel if needed. Coordinate and consolidate internal comments on fund documentation and ensure strict adherence to timelines for turnarounds and filings.
  • Regulatory Filings: Take charge of MAS CISNet and other regulatory filings.
  • Transactions: Assist with transaction checklists, data rooms, signing/closing/completion processes and closing bibles.

Education Qualification

  • University or diploma undergraduate (in any discipline)
  • The firm is willing to consider other qualifications (e.g., ‘A’ level pass) if the candidate has the requisite maturity and experience

Experience and Skills

  • Able to take ownership and work independently
  • Organised, detail-oriented and the ability to work under tight timeframes and meet deadlines
  • Tech-savvy with hands-on experience in using legal tech applications
  • Basic understanding of contracts, corporate governance and financial services
  • Ability to grasp instructions and factual information in connection with assignments and tasks
  • Resourceful and efficiency-focused with a “can do” attitude
  • Growth mindset with the appetite to learn
  • Willingness to undergo relevant professional qualifications or training
  • Experience in a law firm or legal department of an asset management company would be advantageous
