Overview

Rapiscan, an OSI Systems, Inc. company, empowers those who safeguard our world with the technologies, services, and expertise needed to detect threats, secure commerce, and protect communities. An industry leader in X-ray inspection, radiation and trace detection, metal detection, and optical inspection solutions, Rapiscan has over 100,000 scanning systems installed around the world to assist customs agencies, border security, aviation authorities, law enforcement, military organizations, and security professionals in combatting terrorism, smuggling, and trade fraud.

Rapiscan is seeking an experienced, business-minded attorney to serve as lead legal counsel for Rapiscan's U.S. Federal business, and to provide legal support to other OSI Security division businesses. The Senior Counsel will serve as the legal subject matter expert for U.S. Government contracting and a key advisor to business leadership, providing practical, risk-based guidance on government and commercial contracting, compliance, disputes, corporate matters, and strategic initiatives.

  • Serve as the principal legal subject matter expert for U.S. Government contracting, including interpretation, application, and compliance with the FAR, DFARS, other agency supplements, and related laws and regulations.
  • Draft, review, and negotiate government and commercial agreements, solicitations, and related documents, including customer contracts, subcontracts, supplier agreements, teaming and channel agreements, service and technology agreements, and confidentiality agreements.
  • Collaborate with other business stakeholders, including Sales, Finance, Program Management, Human Resources, Compliance, Product Management, Operations, and Supply Chain, to assess risks, navigate contract performance challenges, resolve potential disputes, and drive timely completion of matters.
  • Work closely with the Contracts Department to support and facilitate the company’s review and approval process for contracts, proposals, and other related contractual actions.
  • Draft, review, update, and maintain contract templates, playbooks, guidance, and training materials, and support the continuous improvement of contracting processes, approval workflows, risk management practices, and legal operations.
  • Advise on government contract representations and certifications, schedule and contract-vehicle administration, reporting obligations, entity registrations, and related administrative and compliance infrastructure.
  • Support corporate governance, entity management, strategic transactions, internal investigations, litigation, and other legal matters affecting assigned businesses, coordinating with other Law Department attorneys and outside counsel as appropriate.
  • Monitor relevant legal and regulatory developments and provide clear, timely, and practical guidance to business stakeholders.
  • Uphold the company’s core values of Integrity, Innovation, Accountability, and Teamwork.
  • Demonstrate behavior consistent with the company’s Code of Ethics and Conduct.
  • It is the responsibility of every employee to report to their manager or a member of senior management any quality problems or defects for corrective action to be implemented and to avoid recurrence of the problem.
  • Duties may be modified or assigned at any time to meet the needs of the business.

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with at least one U.S. state bar.
  • At least 8 years of relevant legal experience, including at least 5 years advising on U.S. Government contracts and at least 3 years of in-house experience or equivalent direct counseling of internal business clients.
  • Demonstrated expertise in federal procurement law and regulations, including FAR and DFARS requirements, prime contracts, subcontracts, proposal support, contract negotiation, administration, compliance, claims, audits, and disputes.
  • Significant experience drafting, reviewing, and negotiating complex government and commercial agreements and translating legal requirements into practical business guidance.
  • Strong understanding of how legal, contractual, financial, compliance, operational, and customer considerations affect business decisions and contract performance.
  • Excellent legal and business judgment, analytical ability, and communication and relationship-management skills.
  • Demonstrated ability to act independently, serve as a business partner, take ownership of complex matters, manage competing priorities, identify and escalate material risks, and operate in a fast-paced environment with limited supervision.
  • Selected candidates must be able to obtain and maintain a Top Secret security clearance issued by the U.S. Government throughout the course of their employment.

PREFERRED QUALIFICATIONS:

  • Significant experience in one or more of the following areas of government contracting: commercial products and services, data rights, domestic preference laws, ethics and compliance, cybersecurity, claims and protests, and cost reimbursable contracting.
  • Prior law firm and/or government agency experience focused on US government contracting.
  • Experience with product manufacturing companies, international transactions, and/or state and local procurement.

KEY COMPETENCIES:

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
