The posting

Reporting to: Head of Legal

Summary

We are looking for an experienced M&A legal professional to join our legal team and play a key role in supporting M&A, investment transactions, and deal structuring across multiple jurisdictions. This position requires deep expertise in (i) English law or the laws of the AIFC along with experience handling cross-border transactions and international legal structures.

The ideal candidate will have a strategic mindset, strong analytical and negotiation skills, and the ability to effectively manage legal risks in complex transactions. Preference will be given to candidates with a background in top-tier legal consulting, although experience in large holding companies or investment firms is also valued.

Responsibilities

  • Provide full legal support for M&A transactions, including structuring, conducting due diligence, preparing and negotiating transaction documents, leading negotiations, and managing deal execution.
  • Assess and manage legal risks associated with investments and acquisitions, ensuring strategic risk mitigation.
  • Advise on cross-border transaction structuring, ensuring compliance with foreign legal frameworks and working with English law and AIFC regulations.
  • Support investment projects by structuring transactions, reviewing corporate and financial documentation, and advising on regulatory aspects.
  • Ensure compliance with Kazakhstan law, AIFC regulations, and international legal standards for corporate and transactional matters.
  • Work with investment team, external legal advisors, financial consultants to facilitate smooth deal execution.

Requirements

  • Bachelors or Masters degree in Law from a recognized university.
  • LLM or an international legal qualification is preferred but not required.
  • 5-7 years of experience in a top-tier legal consulting firm (strong preference) or in a large holding company or investment firm (in-house).
  • Proven experience in successfully leading and closing M&A transactions, including cross-border deals.
  • Strong knowledge of (i) English law or the laws of the AIFC.
  • Experience working with foreign jurisdictions and international corporate structures.
  • Advanced analytical and negotiation skills with the ability to work under tight deadlines.
  • Fluent professional English and Russian (both written and spoken).
