The posting

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Counsel, Technology & Strategic Partnerships based in the United States.

Join a forward-thinking, AI-driven cybersecurity environment where technology, innovation, and strategic business partnerships converge. As Senior Counsel, Technology & Strategic Partnerships, you will lead complex technology transactions, negotiate strategic agreements, and provide legal guidance on high-impact commercial initiatives. You will play a key role in structuring partnerships involving technology licensing, OEM arrangements, AI solutions, and service providers. Working closely with senior legal leadership and cross-functional teams, you will help translate innovative business strategies into practical, scalable contractual frameworks. This hands-on position offers the opportunity to own significant transactions from negotiation through execution while supporting mergers and acquisitions. You will also contribute to building the processes, templates, and playbooks that establish a new strategic legal function. If you combine strong technology law expertise with commercial judgment and a passion for emerging technologies, this role offers an opportunity to make a meaningful impact in a rapidly evolving industry.

Accountabilities

  • Lead strategic technology partnerships: Draft, review, and negotiate complex agreements covering OEM relationships, technology licensing, strategic alliances, and service-provider partnerships. Manage transactions end to end and collaborate with senior legal leadership on the most significant deals.
  • Manage intellectual property and technology rights: Negotiate IP ownership, licensing arrangements, data rights, and AI-related contractual provisions, ensuring appropriate protection of technology and business interests.
  • Support strategic product initiatives: Partner with Product and Go-to-Market teams to develop contractual frameworks for new products, services, and commercial offerings.
  • Contribute to mergers and acquisitions: Conduct commercial contract due diligence for acquisition targets, identify material risks in customer, partner, and intellectual property agreements, and support post-acquisition contract integration and assignment activities.
  • Provide strategic legal advice: Deliver practical, business-oriented guidance to deal teams, identify key legal and commercial risks, and recommend clear, actionable solutions.
  • Build scalable legal processes: Develop and refine contract templates, negotiation playbooks, and operational processes to improve consistency, efficiency, and scalability across strategic transactions.
  • Drive cross-functional collaboration: Coordinate with Business Development, Technology Partnerships, Product, Engineering, Finance, Corporate Development, and legal colleagues across commercial contracts, intellectual property, AI, privacy, security, and procurement.
  • Education and qualifications: Juris Doctor (JD) from an accredited U.S. law school or equivalent qualification, with an active license to practice law in at least one U.S. state.
  • Professional experience: At least 8 years of legal experience focused on technology transactions, ideally combining experience at a leading law firm with in-house legal work at a technology company.
  • Technology transactions expertise: Strong knowledge of intellectual property licensing and complex technology agreements, including OEM, strategic alliance, technology licensing, and Software-as-a-Service (SaaS) arrangements.
  • Negotiation skills: Demonstrated ability to independently lead and negotiate complex commercial agreements with sophisticated counterparties, managing transactions from initial discussions through execution.
  • AI fluency: Experience using AI tools to improve efficiency and quality in legal drafting, contract review, due diligence, and knowledge management.
  • Commercial judgment: Strong business acumen and the ability to understand broader commercial objectives, balance risk, and deliver practical legal solutions.
  • Communication and collaboration: Excellent written and verbal communication skills, with the ability to explain complex legal concepts in clear, accessible business language and collaborate effectively across multidisciplinary teams.
  • Preferred industry experience: Background in cybersecurity or enterprise SaaS, with exposure to channel partnerships, OEM arrangements, and managed security service provider (MSSP) or other service-provider programs.
  • Preferred AI expertise: Experience negotiating terms for agentic or autonomous AI products, including provisions addressing training data, output rights, and liability allocation.
  • Additional advantage: Experience supporting M&A transactions, particularly commercial contract due diligence and post-acquisition contract integration.
  • Competitive compensation: Annual base salary ranging from $184,000 to $253,000 USD, depending on the candidate's location. Different salary ranges may apply in certain locations and will be communicated during the recruitment process.
  • Equity and financial rewards: Restricted Stock Units (RSUs) and an Employee Stock Purchase Plan (ESPP).
  • Time off and work-life balance: Flexible time off, paid company holidays, paid sick leave, gender-neutral parental leave, and grandparent leave.
  • Healthcare coverage: Medical, dental, and vision insurance, along with life and disability insurance.
  • Retirement and financial planning: 401(k) retirement plan with company matching contributions, health and dependent care Flexible Spending Accounts (FSAs), and voluntary hospital, accident, and critical illness coverage.
  • Additional protection and support: Employee Assistance Program (EAP), prepaid legal services, nationwide pet insurance, cancer care support, and global business travel medical insurance.
  • Remote work support: Home office allowance and mobile phone reimbursement.
  • Wellness and lifestyle benefits: Access to a wellness coach, gym and wellness reimbursement, fertility coverage, and adoption and surrogacy reimbursement.
  • Remote flexibility: A U.S.-based remote working arrangement.

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
