  • Conduct legal due diligence and prepare due diligence reports in support of mergers, acquisitions, financings, and strategic investments.
  • Assist with the structuring, negotiation, and execution of complex domestic and cross-border business transactions.
  • Advise clients on corporate governance, entity formation, organizational matters, and ongoing corporate compliance.
  • Support venture capital and emerging company clients throughout the business lifecycle, including financing rounds and strategic growth initiatives.
  • Prepare and review shareholder agreements, operating agreements, stock purchase agreements, financing documents, and commercial contracts.
  • Collaborate with attorneys across multiple practice areas to deliver comprehensive legal solutions.
  • Communicate directly with clients, opposing counsel, financial advisors, and other transaction stakeholders.
  • Manage multiple transactions simultaneously while maintaining exceptional attention to detail and responsiveness.
  • Stay current on developments in corporate law, securities regulations, and market trends affecting clients.

Qualifications:

  • Juris Doctor (JD) or LLM from an ABA-accredited law school.
  • Admission to the California Bar, or eligibility for admission.
  • 2 to 4 years of experience in corporate law with a focus on mergers and acquisitions, venture capital, securities, private equity, or general corporate transactions.
  • Experience gained at a nationally recognized, regional, or international law firm preferred.
  • Strong drafting, negotiation, analytical, and legal research skills.
  • Experience supporting sophisticated corporate transactions from inception through closing.
  • Excellent written and verbal communication skills.
  • Strong organizational skills with the ability to manage multiple priorities and deadlines.
  • Demonstrated commitment to client service and professional excellence.
  • Ability to work independently while collaborating effectively within a team-oriented environment.

Desired Qualifications:

  • Experience representing venture-backed companies, emerging growth businesses, or private equity sponsors.
  • Experience with capital markets transactions, securities compliance, or public company reporting.
  • Familiarity with startup financing, corporate restructurings, and strategic investments.
  • Experience working with clients in the technology, life sciences, healthcare, or innovation sectors.

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
