About us

Tracx Logis Ltd. is a Singapore-headquartered, technology-driven and asset-light logistics group serving cross-border e-commerce sellers and enterprise shippers. Through its e-Commerce Logistics and Enterprise Logistics businesses, its Tmarkets Enabler services and its international network of subsidiaries, the Group provides fulfilment, customs clearance, last-mile delivery and international freight forwarding on 36 key cross-border routes. It is connected with 30 e-commerce and social media shopping platforms and has operations in 13 countries across Asia and Europe.

About the role

We are seeking a Head of Legal to lead our legal function and drive strategic legal initiatives across Tracx Logis Ltd. This is a full-time position based in the Jurong East Region. As Legal Counsel, you will be the Company's most senior legal officer. You will advise the Board and management on the legal obligations of an international company with key operations in Korea, Japan, Hong Kong and Singapore, manage the Group's legal risk across its operating markets, and build a lean in-house legal function supported by external counsel. In addition, the Company's securities may be listed in the future, and the role will involve compliance and regulatory disclosure in connection with any such listing.

Key responsibilities

Securities, disclosure and listing compliance

  • Own the legal content of the annual report and other periodic and event-driven regulatory filings, and decide with the CFO which developments require public disclosure, if and when the Company becomes a listed company with public disclosure obligations.
  • Act as secretary of the Disclosure Committee and maintain the Company's disclosure controls.
  • Ensure compliance with stock exchange listing rules (where applicable) and the Companies Act 1967, including prompt disclosure of material information and corporate governance requirements.
  • Run the insider trading compliance programme, where applicable, including blackout periods, pre-clearance, insider lists and directors' and officers' shareholding disclosures.
  • Review results announcements, investor presentations and other public statements for legal and disclosure risk.
  • Advise on any other legal, regulatory or governance matters arising from the Company's status as a listed company, if and when applicable, including post-listing obligations, corporate actions and engagement with stock exchange and securities regulators.

Board and corporate governance

  • Advise the Board and its committees on directors' duties, conflicts of interest and the Company's Constitution under the Companies Act 1967.
  • Lead the legal review of related-party transactions and their disclosure.
  • Advise on the legal effect of Board and shareholder resolutions, share issuances and equity incentive grants, working with the Company Secretary.

Group compliance oversight

  • Oversee the Group compliance programme and supervise the Compliance Officer, who manages it day to day.
  • Ensure compliance with the Singapore laws and regulations that govern the Company as a public company and logistics operator, and act as the first point of contact with Singapore regulators on legal matters.
  • Own the Code of Business Conduct and Ethics, the whistleblowing channel and the anti-bribery and corruption programme.
  • Oversee trade compliance, including sanctions screening, export controls, customs requirements and tariff developments affecting cross-border e-commerce.
  • Oversee data protection and cybersecurity compliance under the Personal Data Protection Act 2012 and equivalent laws in the Group's other markets.
  • Monitor regulatory developments in the Group's key markets and report their impact to senior management and the Audit Committee.

Commercial, transactions and disputes

  • Review and approve material commercial contracts, including platform, carrier, vendor, warehousing, customer and technology agreements, and maintain Group contract standards.
  • Lead the legal work on acquisitions, strategic investments and international expansion.
  • Manage litigation, arbitration and regulatory investigations across the Group, and supervise local counsel in the region.
  • Lead the due diligence and negotiation process, with outside counsel, on potential acquisitions or mergers.

Legal function leadership

  • Set the legal budget and manage the panel of external counsel.
  • Train directors, management and employees on insider trading, disclosure, anti-corruption and data protection.
  • Undertake any other legal and compliance matters as may be assigned from time to time.

Requirements

  • Bachelor of Laws (LLB), Juris Doctor or equivalent; admitted as an advocate and solicitor of the Supreme Court of Singapore (preferred), or a foreign-qualified lawyer with substantial experience advising on Singapore law.
  • 4 to 10 years' post-qualification experience. In-house experience at a company listed in the United States, or US capital markets experience at an international or leading Singapore law firm, is an advantage but not a requirement.
  • Strong working knowledge of Singapore laws and regulations relevant to a listed logistics group, and experience dealing with Singapore regulators.
  • Track record of handling multi-jurisdictional regulatory matters, M&A and disputes, and of managing external counsel to budget.
  • Experience in logistics, freight forwarding, e-commerce or platform businesses is an advantage but not a requirement.
  • Sound judgement, integrity and the confidence to advise and escalate to senior management and the Board.

Why it works

3×

more interviews than doing it yourself with ChatGPT.

ChatGPT writes a CV and never learns what happened to it. We see every reply. For each CV we know:

  • How it was written, and how the review scored it
  • When we applied, and how long after the posting went up
  • Which posting, which company, which city
  • Who got the interview, and who heard nothing

That is how we know which CVs get called.
