Mid sized regional firm in St George is seeking a motivated, detail-oriented Transactional Associate Attorney with 2 to 5 years of experience to join our growing team. The ideal candidate will possess a strong background in transactions, and contract management. This role involves advising a diverse portfolio of clients.
Key Responsibilities
- Draft and Negotiate Agreements: Structure, draft, review, and negotiate a wide variety of commercial contracts, including master service agreements (MSAs), vendor contracts, non-disclosure agreements (NDAs), and employment agreements.
- Corporate Governance: Advise clients on entity formation, corporate structuring, drafting bylaws, operating agreements, and maintaining governance documents
- Client Counseling: Conduct legal research and analysis to interpret complex state and federal laws, regulations, and rulings. Provide actionable, strategic advice to businesses regarding regulatory compliance and risk mitigation.
- Deal Management: Manage transaction timelines, coordinate closing processes, and ensure all closing deliverables and legal conditions are met.
Requirements
Qualifications & Skills
- Education: Juris Doctor (J.D.) degree from an ABA-accredited law school.
- Licensure: Must be admitted to practice law in Utah and maintain an active license in good standing with the Utah State Bar.
- Experience: 2–5 years of dedicated experience practicing transactional, corporate, or commercial law.
- Contractual Expertise: Strong foundational drafting skills with a sharp eye for identifying and mitigating legal and business risks in contracts.
- Communication: Exceptional written and verbal communication skills for managing client relationships and working collaboratively with senior partners.
- Organization: Proven ability to manage multiple transactions simultaneously under tight deadlines with minimal supervision.
