About the Role

As we expand into new markets, we need to set up new entities and keep the existing ones in good standing. We’re hiring a Company Secretary & Entity Manager to own that work end to end across the RemotePass group, reporting to the Head of Finance.

This is an execution role. We need someone who has done the work themselves: incorporating entities, filing with registries, drafting resolutions, and getting documents notarised and legalised. You’ll work with Legal, Finance, and Operations, manage local counsel and service providers, and keep leadership updated on progress and risks.

What You'll Do

  • Set up new entities. Run entity setup in new markets from scoping through incorporation, licensing, tax and social security registrations, bank account opening, and a clean handover to operations.
  • Keep every entity compliant. Manage statutory filings, licence renewals, director and shareholder changes, POAs, UBO registers, and registered office requirements so every entity stays in good standing.
  • Run company secretarial work. Draft board and shareholder resolutions, keep corporate records and the group structure chart current, and manage notarisation, certification, and legalisation of corporate documents.
  • Manage providers. Select and manage local counsel and corporate service providers across jurisdictions, and keep them on time and on budget.
  • Track everything. Build and own an entity and compliance calendar so no filing, renewal, or deadline slips.
  • Support wider legal work. Help with insurance renewals, NDAs, vendor agreements, banking documentation, and legal operations improvements as needed.

Requirements

What We're Looking For

  • 4+ years of hands-on experience in entity management, company secretarial, or corporate legal work, ideally at an EOR or payroll provider, a corporate service provider, or a multinational group.
  • Entities set up and maintained across several jurisdictions, not just one market.
  • A track record of execution: you’ve done the filings, incorporations, and registrations yourself.
  • Corporate governance experience, including drafting resolutions and maintaining statutory records.
  • Familiarity with notarisation, certification, and legalisation of corporate documents.
  • Strong project management skills, with experience juggling multiple entities, providers, and deadlines at once.
  • A law degree or equivalent legal qualification is strongly preferred
  • Fluent in English.
