Job Title: Senior Corporate Counsel, Public Sector & Commercial

The Elevator Pitch

Evolv Technology is on a mission to help make the world safer through advanced, AI-powered security solutions. We're looking for a collaborative, business-savvy Senior Corporate Counsel to build out our federal, state/local, and education (FED/SLED) legal function from the ground up — while also supporting certain commercial deal work across the business. This is a rare opportunity to shape how Evolv approaches public sector contracting and operations, working closely with sales, compliance, and leadership to establish scalable processes as our public sector business grows.

This is a unique opportunity to join an in-house legal team at a fast-growing, mission-driven company that sits at the intersection of physical security and cutting-edge technology. Given the size of the Legal Team, your ideas and contributions will have an immediate impact.

What You’ll Do

  • Provide strategic guidance and counsel across the public sector landscape, ranging from sales questions related to public sector contracts (FED/SLED) to counseling on regulatory requirements and everything in between.
  • Draft, review, and negotiate a wide range of agreements including sales contracts with federal, state, and local government customers and prime contractors,
  • Identify compliance requirements for a particular area of coverage and drive compliance with these requirements, including applicable FAR/DFAR and agency-specific requirements.
  • Provide contract lifecycle counsel across the public sector business, including RFP/bid response, contract administration, and government contracting compliance obligations
  • Partner cross-functionally with sales, product, engineering, finance, supply chain, and compliance teams to structure and close deals aligned with business objectives.
  • Provide training and develop resources for legal and cross-functional teams
  • Draft, review, and negotiate a wide range of commercial agreements, including SaaS, hardware, lease, and subscription agreements
  • Advise on FAR/DFARS and other US, state, and local government-specific laws and regulations
  • Identify, escalate, and help resolve contractual and compliance risks in partnership with legal leadership
  • Contribute to the evolution of Evolv’s contracting templates, playbooks, and tools as the business scales
  • Counsel product and supply chain teams on compliance and contract requirements relevant to their areas of responsibility.
  • Communicate relevant updates to legal colleagues (and provide training as necessary) and proactively inform the legal team on public sector initiatives that may be relevant to their practice areas.
  • Other general commercial and legal matters, as needed.

Qualifications and Preferred Experience

  • J.D. from an accredited law school and active bar membership in good standing.
  • 6+ years of legal experience, in-house or at a law firm, with a mix of general commercial and FED/SLED contracting work.
  • Experience working with K-12 and higher education sector a plus.
  • Experience negotiating SaaS, hardware, subscription, and other technology commercial agreements; familiarity with CLM tools (e.g., Ironclad, Salesforce) a plus.
  • Working knowledge of government contracting fundamentals (FAR/DFARS, GSA Schedules) and Trade Agreements Act/Buy American Act compliance.
  • Excellent drafting, negotiation, and communication skills.
  • Service-oriented, detail-oriented, and comfortable working independently in a fast-paced, mission-driven environment.

Where is the role located?

This role is based out of the HQ in Waltham, Massachusetts with flexibility in being remote 2 days per week. Candidates based in the Washington DC area will also be considered.

Compensation and Transparency Statement

The base salary range for this full-time position is $174,000 - $254,000. In addition to base salary, this role offers a competitive target bonus, equity, and a comprehensive benefits package. This range reflects our commitment to pay transparency and equity, in alignment with applicable state laws. Our compensation ranges are determined based on factors such as role, level, location, market benchmarks, and internal equity. The posted range represents the good-faith estimate of what we expect to pay for this role across U.S. locations. Actual compensation within the range will be based on the candidate’s skills, experience, education, and geographic location.
