仕事内容 上場を考える企業に対し、IPOに関わるコンサルティングやJ-Adviserとしてのサポートを行います。クライアントは、ベンチャーから地方の中小企業まで様々。地方企業も多くIPOを通じて地域を盛り上げる、事業承継に悩む企業に対しIPOというアプローチでパブリックカンパニー化を目指すなど、社会貢献性の高い側面もあります。 （TOKYO PRO Marketへの新規上場を目指すクライアントをサポートするため、2022年4月にJ-Adviser資格を取得しました。） 現在IPOチームのメンバーは約13名。 2018年弊社に中途入社した、ITベンチャー企業の元取締役（上場準備責任者や事業責任者として、マザーズ上場、東証一部上場を経験）とともに、これまでのご経験を活かした新たなフィールドでの活躍を期待いたします。 事業会社で上場を経験、証券会社で審査や公開引受業務を経験、新卒で入社、といった様々なバックグラウンドのメンバーと業務を進めることでご自身のキャリアアップにつなげることができます。 ＜具体的には＞ ①IPOコンサル 上場準備を始めるクライアントもしくは上場準備中のクライアントに、IPOまでのロードマップを作成し、そのロードマップに沿ってサポートしていきます。新規上場に向けた管理体制の構築や組織整備、社内規程の整備など、上場までに必要な一連の対応をクライアントと一緒に進めていきます。 ・IPOまでのロードマップ（スケジュールなど）の作成 ・IPO準備のための内部管理体制の整備 ・資本政策の立案 ・証券会社・監査法人対応のサポート ・内部管理体制の構築、提案 ・各種規程の見直し、作成サポート ・予算立案、管理、予算実績差異分析対応 ・予実管理体制の整備 ・各種申請書類の作成、指導 ・証券取引所の上場審査に向けてのサポート ・上場後の必要書類作成サポート ・Ⅰの部、Ⅱの部の資料作成 ・フローチャートの整備 など、IPOまでのプロセスに必要なことを各種関係機関と連携し、クライアントのIPO準備室（チーム）のリーダーとしての役割にて、クライアントのIPO準備を推進します。 ②J-Adviser TOKYO PRO Marketへの新規上場を目指すクライアントに対しては、J-Adviserとしてサポートも行います。Adviserは、上場を目指す企業の上場適格性の調査確認や上場後の適時開示の助言・指導、上場維持要件の適合状況の調査を実施する役割を担います。 IPOコンサルとは違った視点で上場を目指す企業のサポートから審査業務までを行う役割です。 募集背景 今回、募集しているIPOコンサルティングのチームは、 ・事業会社でIPO準備を担当しIPO経験のあるメンバーや公認会計士、主幹事証券で審査経験のあるメンバー（約5名） ・船井総研に新卒入社のメンバー（約5名） という構成で、経験豊富なベテランと若手が融合したチームとなっています。 2022年4月にJ-Adviser資格を取得したこともあり、全国からのお問い合わせが増加しており、現状メンバーだけでは、ご相談いただいた企業全てに対応しきれない状況にあり、新しい仲間を募集しております。 ①IPOコンサル 専門性の高い分野であるため、 実際に上場準備に関わったことのある即戦力の方を積極的に募集しております。 ②J-Adviser 証券会社にて公開引受もしくは審査の経験のある方を積極的に募集しています。証券会社での経験を、J-Adviserとしてだけでなく、IPOコンサルという立場でもご活用いただけます。 仕事の魅力 船井総研は「経営コンサルティング」がコアにあるので、 現在の事業の中心であるマーケティング分野の支援だけではなく、 その先にある、企業価値向上、業績アップ、グレートカンパニー化など、 「クライアントの経営自体」を多角的にサポートできることが大きな魅力です。 また、船井総研のお客さま、取引先の中には 日本全国の隠れた優良企業であり、 実は上場できる潜在能力を持っている会社が沢山あります。 また、事業承継にお困りの企業にIPOの提案をし、 パブリックカンパニー化を実現するなど、 船井総研ならでは目線で、企業さまのIPOの実現をサポートすることができます。 そして、クライアントの顔が見える環境で仕事ができますので、成果へのコミットメントが強く、 これまでの上場準備のご経験を十分に活かしつつ、 目の前のお客さまに貢献している実感を積み上げたいという方にはぴったりの環境です。 ぜひ参画いただき、IPOという切り口をスタートとして、 日本全国の中小企業の企業価値向上に貢献してみませんか。 要件 求める経験・スキル ■必須 ※①IPOコンサルのみ ・事業会社もしくは証券会社で、上場準備（IPO準備）に携わった経験がある方（上場できたか否かは問いません） ■歓迎 ※①IPOコンサル・②J-Adviser ・証券会社で公開引受もしくは審査にて上場準備会社と関わったことがある方 ・上場会社で管理系のポジションを経験したことがある方 ・会社運営に必要な財務知識を体系的に理解している方 ・IPO準備のアドバイザリー、コンサルの経験がある方 ・公認会計士として上場準備会社の監査に関わったことがある方 ■求める人物像 ・IPO領域でのキャリアの幅を広げたい方 ・IPOを軸とした経営コンサルティングに興味のある方 ・新しいことに挑戦し、大きな達成感を得たい方 ・地方創生、事業承継などといった社会課題に対して貢献したいと考えている方 福利厚生 ・持ち株会制度 ・レジャー・保養施設 割引等 ・組合 ・慶弔金等
