我们正在寻找公司的第一位法务负责人，你将全面承接公司核心法律事务，从事实梳理、风险分级和业务建议到外部律师管理及落地追踪，帮助管理层在复杂监管环境中高效做出判断。

1. 海外产品合规：负责公司产品在美国及其他重点海外市场的合规工作，跟踪并研究 CCPA/CPRA、COPPA、GDPR、人工智能相关立法及监管动态；负责未成年人保护、内容安全、隐私与数据保护等重点议题；深入理解产品功能和数据流，在产品设计及业务决策早期识别风险并提出解决方案。 2. 公司治理与融资：负责 Delaware C-Corp 公司治理及跨境架构相关法律事务，支持董事会运作、融资交易、股权激励计划（ESOP）及相关文件管理，协同管理层、投资人及外部律师推进融资和重大公司事项；建立并持续完善公司治理、授权审批及法律文件管理机制。 3. 外部律师管理：根据业务需求选择和管理境内外律师事务所，明确项目范围、交付标准、预算与时限，持续跟进项目进展，对外部律师意见进行判断和提炼，将复杂法律分析转化为管理层可快速决策的简明建议。 4. 商业合同与日常法务：起草、审核及谈判中英文商业合同；为产品、商务、运营、人力资源等团队提供日常法律支持；建立合同模板、审核流程及基础法务管理制度；理公司经营过程中出现的其他法律及合规事项。

1. 具备 8–12 年法律相关工作经验，其中至少 4 年头部互联网公司内部法务经验， 2 年独立负责海外产品法律事务的经验或曾担任公司唯一法务、核心法务； 2. 已取得中国法律职业资格证书； 3. 能够将英语作为工作语言，独立阅读和研究美国法规，并完成英文合同谈判； 4. 熟悉海外互联网产品涉及的隐私、数据、内容及未成年人保护等合规问题； 5. 能够独立形成初步判断，并提供兼顾风险、成本和业务目标的解决方案。

加分项： 1. 具有 2–4 年优秀律师事务所经验，以及 4–7 年出海互联网公司法务经验； 2. 曾主导 AI、社交、UGC、游戏或短视频产品在美国市场的合规落地； 3. 具有 LLM、JD 或境外律师执业资格； 4. 熟悉美国人工智能、数据隐私、内容治理及儿童保护监管环境； 5. 具有融资、ESOP、跨境架构或 Delaware C-Corp 治理实操经验。
