We are currently looking for a Post Merger Integration Counsel (PMI) that will be responsible for leading the legal aspects of the integration process following mergers, acquisitions, or other significant corporate transactions, as well as to support M&A processes and other strategic projects. This role involves managing the legal, regulatory, compliance, and contractual requirements necessary to seamlessly merge new targets into the Nayax group, support M&A processes, and lead other strategic projects related to inorganic growth. The PMI Counsel will work closely with internal teams (Legal, Finance, HR, IT, Product, Marketing, Sales, etc.) and external counsels to ensure smooth and legally sound inorganic growth processes.

The Post Merger Integration (PMI) Counsel will report to the Deputy Chief Legal Officer.

Your key responsibilities will include:

  • Identify and manage legal risks and regulatory requirements associated with integration, ensuring compliance with local, national, and international laws.
  • Oversee and assess the integration of contracts, licenses, and agreements of new acquired targets.
  • Advise on and help implement post-merger corporate governance structures, ensuring appropriate board structure, policies, and controls.
  • Proactively work with internal teams to develop risk mitigation strategies, including policies, protocols, and training.
  • Oversee the transfer and protection of intellectual property, data assets, and technology, ensuring adherence to relevant privacy, data protection, and IP laws.
  • Partner with departments such as Strategy, HR, IT, Finance, Sales, Marketing and Operations to support integration and alignment with overall business strategy.
  • Engage with external counsel, consultants, and other key stakeholders as needed to facilitate smooth integration.
  • Support efforts to align corporate cultures, employee policies, and organizational values to foster a cohesive workplace post-merger.
  • Support M&A processes and other strategic inorganic growth processes, including support the legal aspects of financing and funding transactions associated with the M&A.
  • Lead opening of new offices in different jurisdictions around the world.
  • Provide ongoing legal support to the Strategy team.

Requirements

What Makes You a Great Fit

  • A qualified lawyer in Israel. US Bar Addition an advantage.
  • Fluency in English (verbal and written)
  • 5+ years of experience in corporate law, with a strong proven background in M&As, financing M&A and Post Merger Integration.
  • Excellent communication and organizational skills
  • Direct correspondence with senior management and company leadership.
  • Ability to work effectively in a fast-paced, confidential, and high-stakes environment.
  • "founder mentality" and intense ownership of projects and tasks.
  • Strong analytical and problem-solving skills with attention to detail.
  • Flexibility to work with global teams with various time zones, US, LATAM, etc.

Nice-to-Have Skills:

  • Familiarity with fintech companies, payments and financial services.
  • Experience in leading global legal PMIs
  • Experience working with AI tools
