SD Worx is a leading European provider of Payroll & HR services with global reach. We are looking for a motivated Corporate Paralegal to join our Specialised Legal team in Belgium.
As Corporate Paralegal, you will support the corporate housekeeping of SD Worx subsidiaries in Belgium and across Europe, assist with M&A-related corporate documentation and contribute to strategic corporate projects, working closely with more experienced colleagues.
We are looking for a legal professional with relevant work experience who, after the necessary onboarding, can quickly work with a high degree of autonomy.
You will be based in Belgium, report to the Director Specialised Legal and work closely with senior colleagues, the M&A team, finance, business stakeholders, outside counsel and other legal & compliance functions in an international legal team.
Which key responsibilities will you have?
- Support the corporate housekeeping of the SD Worx group companies, including the preparation and follow-up of:
o annual (and other) general meetings, meetings of board of directors, etc.
o restructurings (liquidations, mergers, transfers, etc.)
o changes in composition of board of directors;
o management of specific proxies | signature authority;
o maintaining the shareholders’ registers;
o maintaining the corporate housekeeping document management tool (“Corporify”).
- Support the preparation and follow-up of legal formalities, such as corporate registrations, publication requirements, UBO requirements, KYC questions, legalisation, apostille and other administrative legal formalities.
- Assist in drafting, following up and maintaining SD Worx intercompany agreements, together with finance colleagues and senior legal team members.
- Support the M&A team by collecting and preparing corporate information, documents and follow-up actions.
- Support trademark management activities in collaboration with the trademark agent and marketing team, including follow-up of trademark matters and related documentation.
- Act as a reliable point of contact for external stakeholders such as notaries, law firms, statutory auditors and corporate service providers.
- Support the improvement of corporate housekeeping processes, templates and best practices, including by staying informed about relevant corporate governance developments.
What do you need for this role?
- You hold a bachelor’s degree in law, degree in paralegal studies or equivalent through experience.
- You have minimum 3-5 years of experience in a similar legal, paralegal, administrative or corporate support role.
- Good communication skills in Dutch and English, orally and in writing. Knowledge of French or another European language is considered a plus.
- Proficient with Microsoft Office and strong interest in legal tech/innovation in your field.
- Attention to detail, strong organisational skills and ability to manage several tasks in parallel.
- Proactive mindset and ability to challenge existing processes when and where needed.
- Professional, discrete and reliable when handling confidential corporate information.
- Organised, accurate and solution-oriented during peak periods and under time pressure.
- Be open to occasional travel within Europe.
