MISSIONS

L'Administrateur Indépendant a pour mission principale de contribuer aux prises de décisions stratégiques de l'entreprise en toute impartialité. Il agit dans lintérêt de la structure et de ses parties prenantes, en apportant son regard externe, son expertise et en veillant au respect des règles de gouvernance, de transparence et déthique. Il protège également les intérêts de l'entreprise et de ses actionnaires.

RESPONSABILITE ET PRINCIPALES FONCTIONS

L'Administrateur indépendant - H/F

Les responsabilités et principales fonctions du titulaire du poste se résument aux tâches suivantes :

  • Participer activement aux réunions du Conseil d'Administration ou du Comité de Direction, avec une posture de neutralité et de vigilance stratégique ;
  • Apporter un regard objectif sur les décisions clés de la société : orientations stratégiques, budgets, investissements, projets de transformation ;
  • Veiller à l'équilibre des pouvoirs et à la protection des intérêts des actionnaires minoritaires ou des parties prenantes ;
  • Identifier et analyser les risques de l'entreprise et veiller au respect des bonnes pratiques de gouvernances ;
  • Contribuer à l'évaluation des performances de la direction générale et à l'anticipation des risques ;
  • Donner un avis indépendant sur les politiques financières, les rapports de gestion et les orientations de croissance ;
  • S'assurer de la conformité des pratiques de gouvernance avec les normes légales et réglementaires ;
  • Faciliter la mise en place ou l'amélioration des outils de contrôle interne et de reporting ;
  • Représenter une caution de bonne gouvernance auprès des investisseurs ou partenaires externes ;
  • Participer, si besoin, aux comités spécialisés : audit, rémunérations, nominations, stratégie ;
  • Prévenir les conflits dintérêts.

LOCALISATION

Le poste est basé à Abidjan, Cote divoire.

FORMATION

L'Administrateur indépendant - H/F

  • Être titulaire dun BAC+5 en Finance, droit des affaires, en Gestion ou diplôme équivalent ;
  • Justifier au minimum de 10 années dexpérience professionnelle dont 5 en tant qu'administrateur ;
  • Avoir une expérience dans un comité de direction ou conseil.

Compétences

  • Bonne maitrise des principes de gouvernance d'entreprise ;
  • Avoir une compétence solide dans l'analyse stratégique et financière ;
  • Bonne connaissance du cadre juridique et réglementaire ;
  • Expérience dans la gestion des risques ;
  • Capacités à analyser et synthétiser des dossiers complexes ;
  • Maitrise des relations institutionnelles et des processus décisionnels.
