Role purpose

· This role will be based in Singapore and will support STACK Infrastructure’s APAC business across markets including Australia, Japan, Malaysia and Singapore.

· This role will support STACK Infrastructure APAC on site acquisition, development, power, utilities, transmission, distribution, grid connection and related infrastructure workstreams.

· The role is intended to provide dedicated legal capability across the land / power interface, which is foundational to data centre development. It will support the business from early-stage site evaluation through due diligence, transaction structuring, acquisition documentation, power procurement, connection arrangements, approvals, and completion.

· The successful candidate will work closely with the General Counsel, investment and acquisitions team, development team, power / utilities team, finance team, local business teams and external counsel across APAC.

Key responsibilities: The role will cover:

Site acquisition and real estate

- Review and negotiate NDAs, LOIs, HOAs, term sheets, exclusivity arrangements, option agreements, sale and purchase agreements, contracts of sale, leases, licences and brokerage agreements.

- Support legal due diligence on title, zoning, land use, easements, access rights, encumbrances, environmental issues, planning constraints, development approvals, utilities access and subdivision / amalgamation issues.

- Support transaction execution, including CP structure, CP satisfaction, completion / settlement, closing mechanics, funds flow, payment mechanics, completion deliverables and post-closing obligations.

- Coordinate with external real estate, planning, tax, foreign investment and local counsel.

Power, utilities and grid connection

- Support power, utility, transmission and distribution workstreams for data centre developments.

- Review and negotiate electricity design services agreements, substation construction agreements, electricity supply agreements, transmission services agreements, transmission design contracts, transmission works contracts, distribution works contracts and utility connection agreements.

- Support the business on grid connection, power availability, capacity reservation, energisation milestones, security deposits, connection obligations, termination rights, suspension rights, fees and charges, outage / interruption rights and regulatory interface.

- Support legal review of land / power interface issues, including easements, cable routes, substation land, access rights, utility corridors, step-in / assignment rights, third-party consents, landlord / utility / government interface.

External counsel and stakeholder management

- Manage external counsel on local real estate, power / regulatory, foreign investment, tax / structuring, title and land / utility matters.

- Translate local legal advice into practical commercial decision points for management.

- Work closely with the General Counsel on escalation of material legal, commercial, regulatory, or execution risk.

- Build and maintain templates, playbooks, and checklists for site acquisition, power and related real asset workstreams.

Ideal candidate profile: We are looking for a lawyer with:

- Approximately 8+ years’ PQE, although we are open to strong candidates outside that range.

- Strong real estate, infrastructure, power, utilities, development or projects background.

- Experience with land acquisition, site development, real estate due diligence, leases, easements, planning / zoning or development approvals.

- Experience with power, grid connection, transmission, distribution, electricity supply or regulated infrastructure would be highly attractive.

- Experience in data centres, renewables, infrastructure, utilities, industrial real estate, or major development projects would be preferred.

- Strong external counsel management skills across multiple jurisdictions.

- Strong ability to work with commercial, development, finance, technical and engineering stakeholders.

- Practical, commercially minded and able to give clear recommendations rather than purely technical legal advice.

- Strong drafting, negotiation and issue-spotting skills.

- Comfortable operating in a lean, fast-moving in-house environment.

Background: Candidates may come from:

- Real estate / development teams at major law firms from Singapore, UK, Australia.

- Infrastructure / energy / utilities teams.

- Data centre, renewables, logistics, industrial or real estate platforms.

- In-house legal teams at infrastructure developers, real asset funds, data centre operators or large property developers.

- Private practice candidates are acceptable, but they must show clear commercial maturity and ability to transition into an in-house environment.

- Must have law degree from either Singapore, UK, or Australia university.
